Post by: atig on August 16, 2016, 11:40:41 AM
I am 22 years old and since I become 18 years, my chacha has been using my name as a director in his ltd. company.
now I am  22 and I want to understand and take legal resposibility and understand what's going on in that business.

i asked what's going on and also asked for balance sheet. he's not showing me it.
also there is another director... on whose name bank account is opened and all the day to day work is going on with his signature.

i have no idea about what is the balance sheet saying for last 4 years. i have not seen it.
what should I do? i have asked many times for some more info and some balance sheet and all that through phone.. email sms etc. but nothing coming back from chacha.

please help me. i want to know if i have any loan liability etc because of that company. and I also want to stop my name in that company
what to do ??? i need help. who should I talk to?

Hi
There is a huge responsibility on a person who is appointed as a director in a limited company.

You can under Section 209(4) in The Companies Act, 1956 ask the company to submit to you the  books of account and other books and papers for inspection.

If your request is not obliged, you can move the National Company Law tribunal or the High court to direct the other directors to submit the Book of accounts.

thanks for your reply.
is it possible to get the details from ROC?

also is there some kind of form that I can fill with ROC stating that whatever he's doing in the company I am not responsible as I have not been involved in the company since it's starting point? can something like this be done? maybe by using some kind of Form..

my friend told me that we can do something like that so no liability will come on me .. please help.

You can file a RTI application in roc to provide you the necessary details you want regarding your company.

That's it they will mail you all the facts.
