It covers important topics such as:<\/p>\n<ul>\n<li>Legal limits and thresholds for notifying mergers<\/li>\n<li>Situations where exemptions apply<\/li>\n<li>The process of notifying the CCI about a merger<\/li>\n<li>How the CCI investigates and reviews cases<\/li>\n<li>Penalties for breaking the law<\/li>\n<\/ul>\n<p>It also looks at how the CCI tries to maintain a balance between market efficiency and fair competition, using key <strong>Supreme Court<\/strong> and <strong>CCI judgments<\/strong> that have influenced both Indian and international competition law practices.<\/p>\n<h2 id=\"introduction\"><span class=\"ez-toc-section\" id=\"Introduction_to_Merger_Control\"><\/span>Introduction to Merger Control<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Merger control is an important part of modern competition law. Its main goal is to make sure that when companies join together\u2014through a <strong>merger<\/strong>, <strong>amalgamation<\/strong>, or <strong>acquisition<\/strong>\u2014they do not harm fair competition in the market.<\/p>\n<p>According to <strong>Sections 5 and 6 of the Competition Act, 2002<\/strong>, the <strong>Competition Commission of India (CCI)<\/strong> checks such deals, known as \u201ccombinations,\u201d to see whether they may have an <strong>Appreciable Adverse Effect on Competition (AAEC)<\/strong> in India.<\/p>\n<h3 id=\"law-purpose\"><span class=\"ez-toc-section\" id=\"Purpose_of_the_Law\"><\/span>Purpose of the Law<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<ul>\n<li>To stop any one company from becoming too powerful<\/li>\n<li>To protect consumers from unfair prices or fewer choices<\/li>\n<li>To prevent excessive economic control by a few large companies<\/li>\n<\/ul>\n<p><strong>Example:<\/strong> If two large cement companies like <strong>Company A<\/strong> and <strong>Company B<\/strong> decide to merge, the CCI will study the deal. If their merger makes it hard for smaller companies to compete or allows price control, the CCI may ask for changes or block it.<\/p>\n<h2 id=\"law-framework\"><span class=\"ez-toc-section\" id=\"Merger_Control_Law_in_India\"><\/span>Merger Control Law in India<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<h3 id=\"combination-definition\"><span class=\"ez-toc-section\" id=\"Definition_of_%E2%80%9CCombination%E2%80%9D_Section_5\"><\/span>Definition of \u201cCombination\u201d (Section 5)<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The law defines a combination as one of three scenarios:<\/p>\n<ol>\n<li><strong>Acquisition:<\/strong> When a company purchases another\u2019s assets or majority shares to gain control, while both retain separate legal identities.<\/li>\n<li><strong>Control-based Acquisition:<\/strong> When an acquiring company gains sufficient influence or shares to control management or policy decisions of the target company.<\/li>\n<li><strong>Merger or Amalgamation:<\/strong> When two or more companies combine to form a single entity, transferring all assets and liabilities.<\/li>\n<\/ol>\n<p>Financial thresholds based on assets or turnover determine if such a deal must be reported to the CCI for approval.<\/p>\n<h3 id=\"section6\"><span class=\"ez-toc-section\" id=\"Anti-Competitive_Deals_Section_6\"><\/span>Anti-Competitive Deals (Section 6)<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<ul>\n<li>Section 6(1) prohibits deals that harm competition in India.<\/li>\n<li>If a deal significantly reduces competition, it is invalid.<\/li>\n<li>Sections 6(2)\u20136(6) describe how to notify and seek approval from the CCI.<\/li>\n<\/ul>\n<h2 id=\"thresholds\"><span class=\"ez-toc-section\" id=\"When_Notification_to_CCI_Is_Required\"><\/span>When Notification to CCI Is Required<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<h3 id=\"jurisdictional-tests\"><span class=\"ez-toc-section\" id=\"Jurisdictional_Thresholds\"><\/span>Jurisdictional Thresholds<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<ul>\n<li><strong>Parties Test:<\/strong> Evaluates total assets or turnover of the merging companies (India and globally).<\/li>\n<li><strong>Group Test:<\/strong> Evaluates assets or turnover of the broader group post-merger.<\/li>\n<\/ul>\n<h3 id=\"de-minimis\"><span class=\"ez-toc-section\" id=\"De_Minimis_Small_Target_Exemption\"><\/span>De Minimis (Small Target) Exemption<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>If the target\u2019s assets are under \u20b9450 crore or turnover under \u20b91,250 crore, notification to CCI is not required. This exemption helps smaller businesses avoid regulatory burdens.<\/p>\n<h3 id=\"dvt\"><span class=\"ez-toc-section\" id=\"Deal_Value_Threshold_DVT_%E2%80%94_2023_Amendment\"><\/span>Deal Value Threshold (DVT) \u2014 2023 Amendment<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Any deal with a value exceeding \u20b92,000 crore must be reported to CCI, even if traditional turnover thresholds are not met. This targets digital economy transactions with low physical assets but high market influence.<\/p>\n<h2 id=\"control-group\"><span class=\"ez-toc-section\" id=\"Concept_of_Control_and_Group\"><\/span>Concept of Control and Group<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<h3 id=\"control\"><span class=\"ez-toc-section\" id=\"Control\"><\/span>Control<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Defined as the ability to exercise <strong>material influence<\/strong> over management or strategic decisions. It was clarified in <em>Sun Pharmaceutical Industries Ltd. v. CCI<\/em> (2019) that control includes decisive influence, not just ownership.<\/p>\n<h3 id=\"group\"><span class=\"ez-toc-section\" id=\"Group\"><\/span>Group<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>A \u201cgroup\u201d refers to enterprises where one entity controls management, holds over 26% voting rights, or appoints more than 50% of directors.<\/p>\n<h2 id=\"procedural-framework\"><span class=\"ez-toc-section\" id=\"Procedural_Framework_for_CCI_Notification\"><\/span>Procedural Framework for CCI Notification<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<h3 id=\"notification\"><span class=\"ez-toc-section\" id=\"Mandatory_Notification\"><\/span>Mandatory Notification<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Where thresholds are met, transactions must be filed in:<\/p>\n<ul>\n<li><strong>Form I:<\/strong> For minimal overlaps<\/li>\n<li><strong>Form II:<\/strong> For overlaps exceeding 15% horizontally or 25% vertically<\/li>\n<\/ul>\n<h3 id=\"timing\"><span class=\"ez-toc-section\" id=\"Timing_of_Notification\"><\/span>Timing of Notification<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Notification must occur after binding agreements but before deal completion to avoid <strong>\u201cgun-jumping\u201d<\/strong> (Section 43A offence).<\/p>\n<h3 id=\"review-process\"><span class=\"ez-toc-section\" id=\"CCI_Review_and_Investigation_Process\"><\/span>CCI Review and Investigation Process<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<h4 id=\"phase1\"><span class=\"ez-toc-section\" id=\"Phase_I_Review\"><\/span>Phase I Review<span class=\"ez-toc-section-end\"><\/span><\/h4>\n<p>CCI reviews the notice within 30 working days to assess potential AAEC. He has also completed Post Graduate Diplomas in Human Rights, Project Management, Corporate Management, Computer Application, Public Administration, Medical Law, Disaster Management, Fire Safety &amp; Hazards Management and Psychology. He has attended Indian government sponsored specialized training in police and management matters in SVPNPA, Hyderabad, IIM, Ahmedabad and Singapore. He is the author of the books 'Police Investigation &amp; Allied Matters' and 'Alternative Dispute Resolution: Evolving Trends and Innovations' demonstrating his commitment to knowledge sharing within the law enforcement field.
