Consequently, a robust regulatory framework and disclosure requirements are essential to ensure that such transactions are conducted fairly and do not prejudice the interests of minority stakeholders or the integrity of the market.<\/p>\n\n\n\n<p>In India, the Companies Act, 2013 and SEBI (LODR) Regulations, 2015 are the major laws that deal with the related party transactions. These laws aim to ensure that RPTs are disclosed, reviewed and approved appropriately.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"legal-and-regulatory-provisions-for-related-party-transactions\"><span class=\"ez-toc-section\" id=\"Legal_And_Regulatory_Provisions\"><\/span>Legal And Regulatory Provisions<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"definition-of-related-party-under-companies-act-2013\"><span class=\"ez-toc-section\" id=\"Definition_Of_Related_Party_Under_Companies_Act_2013\"><\/span>Definition Of Related Party Under Companies Act, 2013<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>In terms of Section 2(76), \u201crelated party\u201d, with reference to a company, means the following:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A director or his relative.<\/li>\n\n\n\n<li>Key managerial personnel or his relative.<\/li>\n\n\n\n<li>A firm, in which a director, manager or his relative is a partner.<\/li>\n\n\n\n<li>A private company in which a director or manager or his relative is a member or director.<\/li>\n\n\n\n<li>A public company in which a director or manager is a director or holds, along with his relatives, more than two per cent. of its paid-up share capital.<\/li>\n\n\n\n<li>Any corporation whose Board of Directors, managing director or manager is accustomed to act in accordance with the advice, directions or instructions of a director or manager.<\/li>\n\n\n\n<li>Any person on whose advice, directions or instructions a director or manager is accustomed to act.<br><br>Provided that nothing in sub-clauses (6) and (7) shall apply to the advice, directions or instructions given in a professional capacity.<\/li>\n\n\n\n<li>Any company which is:\n<ul class=\"wp-block-list\">\n<li>A holding, subsidiary or an associate company of such company; or<\/li>\n\n\n\n<li>A listed entity or any of its subsidiaries on one hand and any other person or entity on the other hand, the purpose and effect of which is to benefit a related party of the listed entity or any of its subsidiaries.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"transactions-not-regarded-as-related-party-transactions\"><span class=\"ez-toc-section\" id=\"Transactions_Not_Regarded_As_Related_Party_Transactions\"><\/span>Transactions Not Regarded As Related Party Transactions<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Provided that the following transactions shall not be regarded as a related party transaction:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The issue of specified securities on a preferential basis is subject to compliance with the requirements as provided under SEBI (ICDR) Regulations, 2018.<\/li>\n<\/ul>\n\n\n\n<p>The following corporate actions by the listed entity which are uniformly offered to all shareholders in proportion to their shareholding:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Payment of dividend.<\/li>\n\n\n\n<li>Subdivision and consolidation of securities.<\/li>\n\n\n\n<li>Issuance of securities by way of right issue or a bonus issue.<\/li>\n\n\n\n<li>Buy-back of securities.<\/li>\n\n\n\n<li>Acceptance of fixed deposits by bank or non-banking finance companies at the terms uniformly applicable to all the shareholders and public subject to disclosure was the same.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"disclosure-requirements-for-related-party-transactions\"><span class=\"ez-toc-section\" id=\"Disclosure_Requirements_For_Related_Party_Transactions\"><\/span>Disclosure Requirements For Related Party Transactions<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Along with the disclosure of related party transactions every 6 months you just exchange talk. Its primary objective is to ensure transparency and protect the interests of minority shareholders by requiring rigorous approval processes and disclosures for transactions between a listed entity and its related parties.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"policy-on-materiality-of-related-party-transactions\"><span class=\"ez-toc-section\" id=\"Policy_on_Materiality_of_Related_Party_Transactions\"><\/span>Policy on Materiality of Related Party Transactions<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>A listed entity shall formulate a policy on materiality of a related party transaction and on dealing with the related party transaction. Including clear threshold limits duly approved by the board of directors, such policy shall be reviewed by the board of directors at least once in every three years and updated accordingly:<\/p>\n\n\n\n<p>Provided that a transaction with a related party shall be considered material if the transaction(s) to be entered into individually or taken together with previous transactions during a financial year exceeds rupees one thousand crore or ten per cent of the annual consolidated turnover of the listed entity as per the last audited financial statements of the listed entity, whichever is lower.<\/p>\n\n\n\n<p>Apart from the above, a transaction involving payments made to a related party with respect to brand usage or royalty shall be considered material if the transaction(s) to be entered into individually or taken together with previous transactions during a financial year exceed five per cent of the annual consolidated turnover of the listed entity as per the last audited financial statements of the listed entity.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"key-thresholds-under-regulation-23\"><span class=\"ez-toc-section\" id=\"Key_Thresholds_Under_Regulation_23\"><\/span>Key Thresholds Under Regulation 23<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th>Particulars<\/th><th>Materiality Threshold<\/th><\/tr><\/thead><tbody><tr><td>General Related Party Transactions<\/td><td>Exceeds Rupees 1,000 Crore or 10% of annual consolidated turnover, whichever is lower<\/td><\/tr><tr><td>Brand Usage or Royalty Transactions<\/td><td>Exceeds 5% of annual consolidated turnover<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"approval-of-audit-committee\"><span class=\"ez-toc-section\" id=\"Approval_of_Audit_Committee\"><\/span>Approval of Audit Committee<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>All related party transactions and subsequent material modifications shall require prior approval of the audit committee of the listed entity.<\/p>\n\n\n\n<p>Provided that only those members of the audit committee, who are independent directors, shall approve related-party transactions.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"omnibus-approval-for-related-party-transactions\"><span class=\"ez-toc-section\" id=\"Omnibus_Approval\"><\/span>Omnibus Approval<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"definition-of-omnibus-approval\"><span class=\"ez-toc-section\" id=\"Definition\"><\/span>Definition<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>&#8216;Omnibus approval&#8217; refers to a pre-approval granted by the Audit Committee for repetitive related-party transactions.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"conditions-for-omnibus-approval\"><span class=\"ez-toc-section\" id=\"Conditions_for_Omnibus_Approval\"><\/span>Conditions for Omnibus Approval<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Following are the conditions subject to which the Audit Committee may grant omnibus approval for related party transactions:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Such approval shall be applicable only with respect to transactions that are repetitive in nature.<\/li>\n\n\n\n<li>The audit committee shall satisfy itself regarding the need for omnibus approval, and such approval shall be in the interest of the company.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"details-required-in-omnibus-approval\"><span class=\"ez-toc-section\" id=\"Details_Required_in_Omnibus_Approval\"><\/span>Details Required in Omnibus Approval<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>The omnibus approval shall specify:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The name(s) of the related party, nature of transaction, period of transaction, and maximum amount of transactions that shall be entered into;<\/li>\n\n\n\n<li>The indicative base price \/ current contracted price and the formula for variation in the price, if any; and<\/li>\n\n\n\n<li>Such other conditions as the audit committee may deem fit.<\/li>\n<\/ul>\n\n\n\n<p>Where the need for omnibus approval cannot be foreseen and the information is not available, the audit committee shall grant approval for the transaction the value of which cannot exceed one crore per transaction.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"validity-of-omnibus-approval\"><span class=\"ez-toc-section\" id=\"Validity_of_Omnibus_Approval\"><\/span>Validity of Omnibus Approval<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Such omnibus approval shall be valid for a period not exceeding one year and shall require fresh approval after the expiry of one year.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"shareholders-approval-related-party-transactions\"><span class=\"ez-toc-section\" id=\"Shareholders_Approval_for_Related-Party_Transactions\"><\/span>Shareholders&#8217;
