Over the years, the company expanded into multiple sectors, including automobiles, tractors, engineering products, financial services, exports, infrastructure, technology, and several other commercial activities. The Mahindra Group had established numerous associated companies using the name &#8220;Mahindra&#8221; as a significant part of their corporate identity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The plaintiff was also the proprietor of the registered trademark &#8220;Mahindra&#8221; in respect of various goods and had acquired substantial goodwill and reputation in India as well as abroad. According to the plaintiff, the word &#8220;Mahindra&#8221; had become uniquely associated with the Mahindra Group and had acquired a distinct commercial identity and secondary meaning in the minds of consumers.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The dispute arose when the plaintiff came across a prospectus issued by the defendant company, namely Mahendra &amp; Mahendra Paper Mills Ltd. The plaintiff noticed that the defendant had adopted the words &#8220;Mahendra &amp; Mahendra&#8221; as part of its corporate name. The plaintiff contended that the only difference between the names was the substitution of the letter &#8220;e&#8221; in place of the letter &#8220;i&#8221;, resulting in an almost identical pronunciation and appearance. The plaintiff alleged that the defendant intended to exploit the goodwill and reputation associated with the Mahindra name and create an impression that its business was connected with or affiliated to the Mahindra Group.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Prior to filing the suit, the plaintiff issued notices calling upon the defendant to change its corporate name. The plaintiff also approached regulatory authorities, including the Securities and Exchange Board of India and stock exchanges, expressing concern regarding the use of the disputed corporate name.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Subsequently, Mahindra &amp; Mahindra Ltd. instituted a suit before the Bombay High Court seeking a permanent injunction restraining the defendant from using the words &#8220;Mahendra&#8221; or &#8220;Mahendra &amp; Mahendra&#8221; as part of its corporate name, trading style, or business activities. An application for an interim injunction was also filed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The learned single judge of the Bombay High Court granted an interim injunction restraining the defendant from using the impugned name. The order was challenged before the Division Bench, which affirmed the injunction. Aggrieved by the orders of the High Court, the defendant approached the Supreme Court through Civil Appeal No. 7805 of 2001.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 id=\"h-dispute-before-the-court\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Dispute_Before_the_Court\"><\/span>Dispute Before the Court<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The principal question before the Supreme Court was whether the plaintiff had established a prima facie case for passing off sufficient to justify an interim injunction restraining the defendant from using the corporate name &#8220;Mahendra &amp; Mahendra&#8221;.<\/p>\n\n\n\n<h3 id=\"h-defendant-s-contentions\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Defendants_Contentions\"><\/span>Defendant&#8217;s Contentions<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The defendant argued that it was engaged in a different line of business, and therefore there was no likelihood of confusion.<\/li>\n\n\n\n<li>It contended that &#8220;Mahendra&#8221; was a common personal name and that it had acquired an independent reputation under its own corporate identity.<\/li>\n\n\n\n<li>The defendant further argued that the plaintiff could not claim a monopoly over every use of the word &#8220;Mahindra&#8221; or &#8220;Mahendra&#8221;.<\/li>\n<\/ul>\n\n\n\n<h3 id=\"h-plaintiff-s-contentions\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Plaintiffs_Contentions\"><\/span>Plaintiff&#8217;s Contentions<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The plaintiff contended that &#8220;Mahindra&#8221; had acquired enormous goodwill through decades of commercial use.<\/li>\n\n\n\n<li>It argued that the names &#8220;Mahindra &amp; Mahindra&#8221; and &#8220;Mahendra &amp; Mahendra&#8221; were phonetically, visually, and structurally similar.<\/li>\n\n\n\n<li>Ordinary members of the public were likely to believe that the defendant was associated with the plaintiff or belonged to the Mahindra Group.<\/li>\n\n\n\n<li>According to the plaintiff, such conduct amounted to passing off and was likely to cause irreparable injury to its reputation and business interests.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 id=\"h-reasoning-and-analysis-of-the-court\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Reasoning_and_Analysis_of_the_Court\"><\/span>Reasoning and Analysis of the Court<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court undertook an extensive examination of the principles governing passing off actions. The Court observed that passing off is a common law remedy intended to protect the goodwill and reputation associated with a business. The essence of the action lies in preventing one trader from misrepresenting his goods, services, or business as those of another.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The court emphasised that the law relating to passing off differs from trademark infringement. In an infringement action, the plaintiff relies upon statutory rights arising from registration. In a passing off action, the focus is on goodwill, reputation, misrepresentation, and the likelihood of deception. The Court referred to National Sewing Thread Co. Ltd v. James Chadwick &amp; Bros. Ltd, AIR 1953 SC 357, where the Supreme Court recognised the distinction between passing off proceedings and trademark registration proceedings. The Court observed that findings in one type of proceeding do not necessarily determine the outcome of the other.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The court also referred to principles stated in Halsbury&#8217;s Laws of England and Kerly&#8217;s Law of Trade Marks and Trade Names, emphasising that in passing-off actions the degree of similarity is important but not always decisive. The ultimate question is whether the defendant&#8217;s conduct is likely to deceive or confuse members of the public.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Particular reliance was placed upon Cadila Health Care Ltd v. Cadila Pharmaceuticals Ltd, (2001) 2 SCR 743, where a three-judge bench of the Supreme Court comprehensively summarised the principles governing deceptive similarity and passing off. The court reiterated the factors identified in Cadila, including the nature of the marks, phonetic similarity, the nature of goods and services, the class of consumers, the mode of purchase, and other surrounding circumstances.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court further referred to Sunder Parmanand Lalwani v. Caltex (India) Ltd., AIR 1969 Bom 24, where protection was granted to the famous &#8220;Caltex&#8221; name even in relation to different goods because consumers could assume a connection with the well-known business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The court also relied upon Bata India Ltd v. Pyare Lal &amp; Co., AIR 1985 All 242, where the Allahabad High Court restrained use of the name &#8220;Bata&#8221; in relation to products different from those manufactured by the plaintiff. The decision recognised that a famous name carries substantial goodwill and that unauthorised use can cause deception and injury to reputation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Another important precedent considered was Kirloskar Diesel Recon Pvt. Ltd. v. Kirloskar Proprietary Ltd., AIR 1996 Bom 149. In that case, the Bombay High Court protected the well-known &#8220;Kirloskar&#8221; name and held that a business group which has built a substantial reputation over decades is entitled to protection against misuse of its corporate identity. Members of the public associated the name with a particular standard of goods, services, and business reputation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court observed that the difference between &#8220;Mahindra&#8221; and &#8220;Mahendra&#8221; was insignificant from the perspective of ordinary consumers. Phonetically, visually, and structurally the names were deceptively similar. Any use of the name &#8220;Mahendra &amp; Mahendra&#8221; in business was likely to create an impression of connection with the plaintiff group.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court held that the plaintiff had successfully established a prima facie case.
