It is a legally structured corporate reorganisation that can affect shareholders, creditors, employees, contracts, assets, liabilities, taxation, regulatory approvals and the very manner in which a business is conducted.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For this reason, a scheme of merger or arrangement must be approached simultaneously as a <strong>commercial transaction, corporate restructuring exercise and judicial process<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In India, Sections <strong>230 to 232 of the Companies Act, 2013<\/strong> provide the principal statutory framework governing compromises, arrangements, mergers and amalgamations placed before the <strong>National Company Law Tribunal (NCLT)<\/strong>.
