The client may have to reveal commercially sensitive information, embarrassing facts, documents, previous transactions, or even facts that may expose the client to civil or criminal consequences. If the client believes that everything disclosed to the lawyer can immediately be demanded by an investigating agency, the very purpose of legal representation is weakened.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But there is another equally important principle.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Privilege cannot become a cloak for the lawyer&#8217;s own alleged participation in wrongdoing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That tension has now been examined in considerable depth by the Delhi High Court in Puneet Batra v. Union of India &amp; Ors., W.P.(C) 11021\/2025, culminating in the judgment pronounced on 18 September 2026 by a Division Bench comprising Justice Anil Kshetrapal and Justice Shail Jain. The case arose from a GST investigation in which the authorities searched the office of an advocate and seized documents and a computer CPU containing potentially privileged material. Ltd., a gaming company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The petitioner, Puneet Batra, is an advocate who had been providing professional services to the company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The record of the earlier Delhi High Court proceedings shows that the advocate claimed to have provided a range of professional services, including GST and tax-related work, income-tax matters, intellectual-property work, and cyber-crime-related assistance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The GST authorities had previously searched the client&#8217;s premises.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The advocate subsequently received summons from the GST authorities and appeared before them.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The dispute reached a more serious stage on 25 July 2025, when the GST Department&#8217;s Anti-Evasion Branch searched the office of Bass Legal LLP and the petitioner&#8217;s office and seized documents and a CPU. The CPU was stated to have substantial storage capacity and potentially contained material belonging not only to the client under investigation but also to other clients.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That raised an obvious legal problem.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Could the investigating agency search a lawyer&#8217;s office and seize a computer when that computer may contain hundreds of privileged communications belonging to clients who were completely unrelated to the GST investigation?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That was the real difficulty before the court.<\/p>\n\n\n\n<h2 id=\"h-the-first-delhi-high-court-order-the-court-initially-protected-the-lawyer\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_First_Delhi_High_Court_Order_The_Court_Initially_Protected_the_Lawyer\"><\/span>The First Delhi High Court Order: The Court Initially Protected the Lawyer<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The first important order was passed on 28 July 2025.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">At that stage, the Court took a cautious approach.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Division Bench observed that documents supplied by a client to his lawyer are confidential and protected by attorney-client privilege.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">More importantly, the Court made an observation that became central to the later litigation:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An advocate should not be subjected to investigative harassment merely because he represents a person under investigation. class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The advocate is ostensibly a lawyer, but there is material suggesting that he is personally involved in the underlying conduct.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The legal consequences of these two situations are different.<\/p>\n\n\n\n<h2 id=\"h-the-september-2025-order-became-particularly-important\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_September_2025_Order_Became_Particularly_Important\"><\/span>The September 2025 Order Became Particularly Important<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The matter developed further.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">On 9 September 2025, the Delhi High Court examined the circumstances surrounding the search and the seizure of the CPU.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court recorded that the CPU had been seized while the advocate was absent, and that material before the Court indicated that the computer had been accessed during the search.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court then cautioned the GST Department that an advocate&#8217;s computer should not ordinarily be opened or accessed without the advocate&#8217;s presence, because doing so could result in a serious breach of confidentiality and attorney-client privilege.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is an important part of the case history because it demonstrates that the Court was not treating investigative authority and professional privilege as mutually exclusive.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It was attempting to devise safeguards.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The CPU could potentially contain:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>documents of the investigated client;<\/li>\n\n\n\n<li>privileged legal opinions;<\/li>\n\n\n\n<li>correspondence;<\/li>\n\n\n\n<li>pleadings;<\/li>\n\n\n\n<li>litigation strategy;<\/li>\n\n\n\n<li>information concerning unrelated clients;<\/li>\n\n\n\n<li>confidential commercial information;<\/li>\n\n\n\n<li>personal and professional records.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">A digital device therefore creates a substantially greater confidentiality problem than the seizure of one identifiable paper document.<\/p>\n\n\n\n<h2 id=\"h-the-supreme-court-then-changed-the-legal-landscape\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Supreme_Court_Then_Changed_the_Legal_Landscape\"><\/span>The Supreme Court Then Changed the Legal Landscape<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">While the Puneet Batra litigation was progressing, the Supreme Court was considering a larger question concerning investigating agencies summoning lawyers.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court&#8217;s case arose from a notice issued to an advocate under Section 179 of the Bharatiya Nagarik Suraksha Sanhita, 2023 (BNSS).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The advocate had represented an accused person.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The investigating officer sought to question him about the facts and circumstances of the case.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That eventually led the Supreme Court to examine the broader question:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Can an investigating agency summon a lawyer simply because the lawyer represented or advised a person under investigation?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court answered that question within the framework of Sections 132\u2013134 of the Bharatiya Sakshya Adhiniyam, 2023.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The judgment is reported id=\"Section_132_of_the_Bharatiya_Sakshya_Adhiniyam_2023\"><\/span>Section 132 of the Bharatiya Sakshya Adhiniyam, 2023<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The modern statutory foundation of advocate-client privilege is now found in Section 132 of the BSA.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The provision substantially carries forward the earlier Section 126 of the Indian Evidence Act, 1872.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The basic rule is that an advocate cannot, without the client&#8217;s express consent, disclose communications made to the advocate in the course and for the purpose of professional service, disclose the contents or condition of documents with which the advocate became acquainted in that professional capacity, or disclose legal advice given to the client.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But the privilege has statutory exceptions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The protection does not extend to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>a communication made in furtherance of an illegal purpose; or<\/li>\n\n\n\n<li>facts observed by the advocate showing that a crime or fraud has been committed since the commencement of the professional engagement.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court expressly examined these exceptions in its 2025 judgment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is critical to understanding the Delhi High Court&#8217;s decision.<\/p>\n\n\n\n<h2 id=\"h-privilege-is-not-the-same-thing-as-immunity\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" distinction is at the heart of the entire controversy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Privilege means that certain communications cannot ordinarily be compelled to be disclosed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Immunity would mean that the lawyer himself cannot be investigated.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The two concepts are not identical.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Suppose a client consults an advocate after committing an offense and asks the advocate how to defend himself.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The communication concerning the legal defense may be privileged.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But suppose there is independent evidence that the advocate himself participated in creating false documents, concealing transactions, moving illicit funds, or otherwise becoming part of the conduct under investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The lawyer&#8217;s professional status cannot logically make the lawyer immune from investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court itself recognized this distinction in 2025. It held that an advocate cannot claim absolute immunity merely because he is a legal adviser where his own conduct or omission is under scrutiny.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That principle provides an important foundation for understanding the final Delhi High Court ruling.<\/p>\n\n\n\n<h2 id=\"h-what-exactly-did-the-delhi-high-court-decide\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_Exactly_Did_the_Delhi_High_Court_Decide\"><\/span>What Exactly Did the Delhi High Court Decide?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The final judgment in Puneet Batra must be understood against this statutory and precedential background.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court ultimately did not accept the proposition that the search was automatically illegal merely because the premises belonged to an advocate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court accepted that where the investigating authority possesses material indicating that the advocate may himself be involved in the matter being investigated, advocate-client privilege cannot be invoked as an absolute bar to investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In other words:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The lawyer&#8217;s office is not a sanctuary from a lawful statutory search merely because it is a lawyer&#8217;s office.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But there is an equally important second half.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The search does not destroy the privilege attaching to genuinely privileged material.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The distinction is between the right to investigate and the right to examine every piece of information found during that investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Those are different questions.<\/p>\n\n\n\n<h2 id=\"h-section-67-2-of-the-cgst-act-why-it-matters\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Section_672_of_the_CGST_Act_Why_It_Matters\"><\/span>Section 67(2) of the CGST Act: Why It Matters<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Section 67 of the CGST Act deals with inspection, search, and seizure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Under Section 67(2), where the proper officer, not below the rank of Joint Commissioner, has reasons to believe that goods liable to confiscation or documents, books, or things useful or relevant to proceedings under the Act are secreted in a place, the officer may authorize a search and seizure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The statutory language therefore contains an important threshold:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>&#8220;Reasons to believe&#8221;<\/strong><\/li>\n\n\n\n<li><strong>relevance or usefulness to proceedings under the Act.<\/strong><\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The power is consequently not framed as an unrestricted power to search any premises merely because an investigating officer considers the occupant interesting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The statutory requirements remain relevant.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Delhi High Court has repeatedly recognized the significance of the &#8220;reasons to believe&#8221; requirement in Section 67 proceedings. Courts have also treated absence of the jurisdictional statutory foundation as capable of inviting judicial review.<\/p>\n\n\n\n<h2 id=\"h-the-difference-between-the-search-power-and-privilege\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Difference_Between_the_Search_Power_and_Privilege\"><\/span>The Difference Between the Search Power and Privilege<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This is where the case becomes legally interesting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 67(2) gives the GST authorities a statutory search power.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 132 BSA gives the client and advocate protection concerning professional communications.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Neither provision automatically cancels the other.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The proper legal exercise is to harmonize them.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Thus:<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th>Provision<\/th><th>Question It Addresses<\/th><\/tr><\/thead><tbody><tr><td>Section 67<\/td><td>Can a lawful search be conducted?<\/td><\/tr><tr><td>Section 132<\/td><td>What professional communications remain protected from compelled disclosure?<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">This distinction prevents two opposite errors.<\/p>\n\n\n\n<h3 id=\"h-error-one\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Error_One\"><\/span>Error One<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">&#8220;Because it is an advocate&#8217;s office, Section 67 can never apply.&#8221;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That proposition is too broad.<\/p>\n\n\n\n<h3 id=\"h-error-two\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Error_Two\"><\/span>Error Two<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">&#8220;Because Section 67 authorizes the search, every document and every digital file inside the office can be examined.&#8221;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That proposition is equally problematic.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The final judgment is best understood as rejecting the first proposition while preserving safeguards against the second.<\/p>\n\n\n\n<h2 id=\"h-the-supreme-court-s-2025-judgment-is-crucial\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Supreme_Courts_2025_Judgment_Is_Crucial\"><\/span>The Supreme Court&#8217;s 2025 Judgment Is Crucial<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court&#8217;s judgment in In Re: Summoning Advocates deserves particular attention because it was delivered after the initial Puneet Batra orders.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court held that an investigating agency cannot simply summon an advocate who represents an accused in order to extract information concerning the case.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where the statutory exceptions to Section 132 are invoked, the summons must identify the exceptional circumstances relied upon. The Supreme Court also required prior written satisfaction of a superior officer of the prescribed rank and recognized judicial review of such action.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This establishes an important distinction:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Mere professional representation<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">does not justify treating the lawyer as an investigative source.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Evidence of the lawyer&#8217;s own involvement<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">is a different situation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court expressly recognized that an advocate may be investigated as a suspect or witness where the investigation concerns conduct outside the protected professional relationship.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is almost exactly the conceptual boundary that becomes important in Puneet Batra.<\/p>\n\n\n\n<h2 id=\"h-the-three-statutory-exceptions-to-privilege\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Three_Statutory_Exceptions_to_Privilege\"><\/span>The Three Statutory Exceptions to Privilege<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court&#8217;s interpretation of Section 132 can broadly be understood through three situations.<\/p>\n\n\n\n<h3 id=\"h-1-client-consent\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"1_Client_Consent\"><\/span>1. Client Consent<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The client may expressly consent to disclosure.<\/p>\n\n\n\n<h3 id=\"h-2-illegal-purpose\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"2_Illegal_Purpose\"><\/span>2. Illegal Purpose<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The communication itself may have been made in furtherance of an illegal purpose.<\/p>\n\n\n\n<h3 id=\"h-3-crime-or-fraud-observed-during-the-engagement\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"3_Crime_or_Fraud_Observed_During_the_Engagement\"><\/span>3. Crime or Fraud Observed During the Engagement<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The advocate may personally observe facts showing that a crime or fraud has been committed after the commencement of the professional engagement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These exceptions are not simply technical provisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They represent Parliament&#8217;s recognition that confidentiality cannot be used to protect communications that themselves facilitate illegality or disclose subsequent criminal or fraudulent conduct falling within the statutory exception.<\/p>\n\n\n\n<h2 id=\"h-what-if-the-lawyer-himself-becomes-a-suspect\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_If_the_Lawyer_Himself_Becomes_a_Suspect\"><\/span>What If the Lawyer Himself Becomes a Suspect?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This is perhaps the most important question raised by the Delhi High Court judgment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Imagine that an advocate initially provides legitimate legal advice.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Later, however, the investigating agency obtains independent material suggesting that the advocate:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>participated in the business;<\/li>\n\n\n\n<li>controlled financial transactions;<\/li>\n\n\n\n<li>created or altered records;<\/li>\n\n\n\n<li>helped conceal transactions;<\/li>\n\n\n\n<li>acted as more than legal counsel;<\/li>\n\n\n\n<li>personally benefited from the alleged wrongdoing.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">At that point the factual character of the investigation changes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The lawyer is no longer merely a person possessing someone else&#8217;s confidential documents.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">He may himself be a person whose conduct requires investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That does not prove guilt.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It does not eliminate due process.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It does not destroy every privilege.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But it means that professional status alone cannot terminate the investigation at the threshold.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is the core distinction that the 2026 Delhi High Court judgment brings into sharp focus.<\/p>\n\n\n\n<h2 id=\"h-the-court-did-not-hold-that-the-advocate-was-guilty\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" class=\"wp-block-paragraph\">This point is essential.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A court deciding whether an investigative search is legally sustainable is not necessarily deciding whether the person ultimately committed the offense or statutory violation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The existence of prima facie material is an investigative threshold.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is not a conviction standard.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Therefore, the Delhi High Court&#8217;s judgment should not be reported as a finding that the advocate actually participated in the alleged wrongdoing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The proper understanding is narrower:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The material placed before the Court was sufficient to prevent the advocate from claiming an absolute privilege-based immunity against the investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The merits of the underlying allegations remain a separate matter.<\/p>\n\n\n\n<h2 id=\"h-the-importance-of-the-phrase-prima-facie\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Importance_of_the_Phrase_%E2%80%9CPrima_Facie%E2%80%9D\"><\/span>The Importance of the Phrase &#8220;Prima Facie&#8221;<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Lawyers will immediately appreciate the significance of the expression prima facie.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">At the investigation stage, an authority does not ordinarily have to establish guilt beyond reasonable doubt.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But neither can it act entirely without material.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The phrase therefore operates as an important legal filter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The authority must have material which, on its face, provides a rational connection between the advocate and the conduct under investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The distinction can be stated simply:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Mere representation is not personal involvement.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Prima facie evidence of personal involvement is not converted into mere representation simply because the person happens to be an advocate.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That is the balance the judgment seeks to preserve.<\/p>\n\n\n\n<h2 class=\"wp-block-paragraph\">In September 2025, the Court had specifically expressed concern about the opening of the advocate&#8217;s computer in his absence.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The concern was obvious.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A lawyer&#8217;s CPU can contain information belonging to dozens or hundreds of clients.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If investigators simply clone and examine the entire contents without safeguards, a GST investigation concerning one client could expose confidential information relating to completely unrelated litigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court therefore created procedural safeguards around examination of the seized investigation.<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">The latter categories raise an entirely different question.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The legal issue, therefore, cannot be decided simply by asking:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">&#8220;Was the person a lawyer?&#8221;<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">The correct question is<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">&#8220;What was the lawyer actually doing, and what material connects the lawyer personally to the conduct under investigation?&#8221;<\/p>\n<\/blockquote>\n\n\n\n<h2 id=\"h-why-the-judgment-is-particularly-important-for-tax-lawyers\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" clients.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They may possess:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>ledgers;<\/li>\n\n\n\n<li>invoices;<\/li>\n\n\n\n<li>bank statements;<\/li>\n\n\n\n<li>GST returns;<\/li>\n\n\n\n<li>income tax records;<\/li>\n\n\n\n<li>accounting data;<\/li>\n\n\n\n<li>corporate documents;<\/li>\n\n\n\n<li>transaction agreements;<\/li>\n\n\n\n<li>digital communications.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Consequently, a tax investigation involving a client can easily overlap with the lawyer&#8217;s professional records.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Puneet Batra judgment therefore has significance well beyond this particular GST investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is likely to be relevant whenever a tax authority seeks to investigate a professional adviser who has acted for the taxpayer.<\/p>\n\n\n\n<h2 id=\"h-implications-for-gst-investigations\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Implications_for_GST_Investigations\"><\/span>Implications for GST Investigations<span Digital Material Requires Safeguards<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A computer containing unrelated client information cannot sensibly be treated as an ordinary evidentiary container.<\/p>\n\n\n\n<h2 id=\"h-the-larger-constitutional-dimension\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Larger_Constitutional_Dimension\"><\/span>The Larger Constitutional Dimension<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Although the dispute is principally statutory, it has a constitutional dimension.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The right to legal representation and meaningful access to counsel is closely connected with the constitutional guarantees under Articles 21 and 22 and, in the professional context, Article 19(1)(g).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court&#8217;s 2025 judgment recognized the importance of ensuring that lawyers are able to perform their professional duties without being routinely converted into investigative witnesses against their own clients.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But constitutional protection of the legal profession does not imply that an advocate has immunity from ordinary law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Constitution protects the independence and functioning of the profession.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It does not create a class of persons who are beyond investigation.<\/p>\n\n\n\n<h2 id=\"h-the-position-of-in-house-counsel\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Position_of_In-House_Counsel\"><\/span>The Position of In-House Counsel<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court&#8217;s 2025 judgment also made an important distinction concerning in-house counsel.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court held that in-house counsel do not enjoy Section 132 BSA privilege in the same manner as practicing advocates because they do not fall within the relevant statutory conception of an advocate practicing as such.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Court nevertheless considered Section 134 and the protection applicable to legal advisers in the relevant circumstances.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This distinction is important because corporate legal departments often hold enormous amounts of confidential information.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The expression &#8220;lawyer&#8217;s office&#8221; therefore cannot simply be expanded to cover every corporate employee who has legal qualifications.<\/p>\n\n\n\n<h2 id=\"h-a-wider-problem-evidence-obtained-during-an-improper-search\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"A_Wider_Problem_Evidence_Obtained_During_an_Improper_Search\"><\/span>A Wider Problem: Evidence Obtained During an Improper Search<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Another difficult issue is what happens when investigators obtain privileged information through an allegedly unlawful search.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Indian evidence law has historically taken a relatively different approach from the American &#8220;fruit of the poisonous tree&#8221; doctrine.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The admissibility of evidence does not automatically disappear merely because the method of obtaining it is challenged, subject to the particular statutory or constitutional issue involved.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This makes procedural protection at the search stage especially important.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The privilege issue therefore cannot be treated as merely an evidentiary objection to be raised years later.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The safeguards must operate when the computer is opened, when the files are copied, and when privileged material is identified.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That is one reason the earlier procedural orders in Puneet Batra deserve continued attention.<\/p>\n\n\n\n<h2 id=\"h-the-current-legal-position-in-2026\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Current_Legal_Position_in_2026\"><\/span>The Current Legal Position in 2026<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Putting the authorities together, the legal position can presently be summarized as follows.<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th>Proposition<\/th><th>Current Legal Position<\/th><\/tr><\/thead><tbody><tr><td><strong>Proposition 1<\/strong><\/td><td>A lawyer cannot be summoned merely because he represents a client. class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The real lesson from Puneet Batra is not that privilege has become weak.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nor is the lesson that lawyers are now immune from investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The deeper lesson is that the capacity in which a lawyer is acting matters.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If a lawyer is acting as counsel, the law protects the confidential professional relationship.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the lawyer becomes personally involved in the transaction under investigation, the legal analysis changes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A lawyer cannot say:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">&#8220;I am an advocate; therefore, no investigation can touch me.&#8221;<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">But an investigating agency equally cannot say:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">&#8220;He is a lawyer; therefore, everything on his computer is available to us.&#8221;<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">Both propositions go too far.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The correct legal position lies between them.<\/p>\n\n\n\n<h2 id=\"h-a-lawyer-s-office-is-not-a-fortress-but-it-is-not-an-ordinary-premise-either\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"A_Lawyers_Office_Is_Not_a_Fortress%E2%80%94But_It_Is_Not_an_Ordinary_Premise_Either\"><\/span>A Lawyer&#8217;s Office Is Not a Fortress\u2014But It Is Not an Ordinary Premise Either<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This is perhaps the simplest way to understand the judgment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A lawyer&#8217;s office is not a constitutional fortress from which all state power is excluded.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But neither is it an ordinary commercial premise where investigators can disregard the confidential relationship between advocates and clients.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The law requires controlled investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The State must investigate legitimate wrongdoing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The legal system must simultaneously preserve the confidentiality necessary for effective legal representation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That balance is not a concession to lawyers.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is a protection for clients and, ultimately, for the administration of justice.<\/p>\n\n\n\n<h2 id=\"h-practical-guidance-for-advocates\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Practical_Guidance_for_Advocates\"><\/span>Practical Guidance for Advocates<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The judgment also has practical implications for law offices.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Advocates should consider maintaining clear segregation between:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Client represents hundreds of clients, a single computer may contain privileged information concerning people entirely unrelated to an investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Proper file architecture, access controls, encryption, and clearly identified client folders can reduce the risk of indiscriminate exposure during a search.<\/p>\n\n\n\n<h2 id=\"h-practical-guidance-when-an-advocate-s-office-is-searched\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Practical_Guidance_When_an_Advocates_Office_Is_Searched\"><\/span>Practical Guidance When an Advocate&#8217;s Office Is Searched<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Where a lawful search is undertaken, the advocate should carefully document:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The search authorization;<\/li>\n\n\n\n<li>The statutory provision invoked;<\/li>\n\n\n\n<li>The premises were searched;<\/li>\n\n\n\n<li>The devices seized;<\/li>\n\n\n\n<li>The documents taken;<\/li>\n\n\n\n<li>Whether privileged material is involved;<\/li>\n\n\n\n<li>Whether unrelated clients&#8217; data is present;<\/li>\n\n\n\n<li>Whether passwords or digital access were sought;<\/li>\n\n\n\n<li>Whether cloning or forensic imaging was undertaken;<\/li>\n\n\n\n<li>Whether the advocate or authorized representative was present.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The objective should not be obstruction of a lawful investigation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It should be to ensure that the investigation remains within the law and that privileged material is protected.<\/p>\n\n\n\n<h2 id=\"h-a-word-of-caution-for-investigating-agencies\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"A_Word_of_Caution_for_Investigating_Agencies\"><\/span>A Word of Caution for Investigating Agencies<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The judgment should equally be read as a caution to investigative agencies.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The fact that an advocate&#8217;s office can be searched in an appropriate case does not mean that investigators should routinely search lawyers whenever their clients are investigated.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Supreme Court&#8217;s 2025 judgment makes clear that professional representation cannot itself become the basis for coercive investigative questioning.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Investigating agencies therefore need to distinguish carefully between:<\/p>\n\n\n\n<figure distinction is the heart of the current law.<\/p>\n\n\n\n<h2 id=\"h-my-legal-analysis\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"My_Legal_Analysis\"><\/span>My Legal Analysis<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Having followed this litigation from its initial stage, I believe the most significant aspect of the final judgment is the court&#8217;s refusal to accept either extreme.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">One extreme would be to treat every lawyer&#8217;s office as completely immune from search.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That would be difficult to reconcile with statutory investigative powers, particularly where the lawyer himself is alleged to have participated in the underlying conduct.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The other extreme would be to treat a search authorization as a license to enter a lawyer&#8217;s digital world and examine every communication, every client file, and every legal opinion.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That would undermine the very purpose of professional privilege.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The better reading of the law is therefore functional.<\/p>\n\n\n\n<h3 id=\"h-what-is-the-advocate-s-role\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_Is_the_Advocates_Role\"><\/span>What Is the Advocate&#8217;s Role?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">If he is acting purely as counsel, privilege has considerable force.<\/p>\n\n\n\n<h3 id=\"h-what-is-the-material-relied-upon-against-him\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_Is_the_Material_Relied_Upon_Against_Him\"><\/span>What Is the Material Relied Upon Against Him?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">There must be something more than the mere existence of a lawyer-client relationship if the investigation is directed at the advocate personally.<\/p>\n\n\n\n<h3 id=\"h-what-is-being-seized\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_Is_Being_Seized\"><\/span>What Is Being Seized?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A relevant business record is not automatically equivalent to a privileged communication.<\/p>\n\n\n\n<h3 id=\"h-whose-information-is-being-examined\"
