But the investment may also be governed by FEMA and the FDI framework. An acquisition may trigger competition-law review. Employees may be subject to Indian employment legislation. Technology arrangements may raise intellectual-property questions. Data processing may fall within India&#8217;s DPDP framework. Financing may involve RBI or securities regulations. Distress may bring the company before the NCLT.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The legal structure therefore has to work as a whole.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For a U.S. business or international law firm, the question is not simply whether an Indian entity can be established. A branch office may suit specific foreign businesses where the applicable framework permits its activities. A liaison office is intended for permitted liaison functions rather than ordinary revenue-generating operations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These structures should be selected after examining the business model and regulatory consequences rather than simply comparing incorporation costs.<\/p>\n\n\n\n<h2 id=\"h-foreign-investment-fema-and-fdi\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Foreign_Investment_FEMA_and_FDI\"><\/span>Foreign Investment, FEMA and FDI<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Foreign investment is central to corporate law in India for foreign companies.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The analysis generally begins with four questions:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>What is the proposed business activity?<\/li>\n\n\n\n<li>What foreign ownership is permitted?<\/li>\n\n\n\n<li>Is the automatic or government route applicable?<\/li>\n\n\n\n<li>What pricing, reporting and downstream-investment rules apply?<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The analysis continues after the initial investment. FEMA can affect subsequent share transfers, capital restructuring, convertible instruments, dividends, buy-backs, liquidation proceeds and repatriation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Foreign investors should also distinguish FEMA&#8217;s beneficial-ownership concepts from significant beneficial ownership under the Companies Act. They may overlap factually, but they are not identical legal tests.<\/p>\n\n\n\n<h2 id=\"h-press-note-3-and-beneficial-ownership\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Press_Note_3_and_Beneficial_Ownership\"><\/span>Press Note 3 and Beneficial Ownership<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Press Note 3 requires particular attention where the investing structure involves entities or beneficial ownership connected with countries sharing a land border with India.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The fact that the immediate investing company is incorporated in the United States does not necessarily end the inquiry.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The ownership and control chain should therefore be mapped before the investment documents are finalised.<\/p>\n\n\n\n<h2 id=\"h-incorporation-and-corporate-compliance\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Incorporation_and_Corporate_Compliance\"><\/span>Incorporation and Corporate Compliance<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Incorporation is only the beginning.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A foreign-owned Indian company should establish a compliance framework covering:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>board meetings and statutory records;<\/li>\n\n\n\n<li>annual filings;<\/li>\n\n\n\n<li>financial statements and audit<\/li>\n\n\n\n<li>director disclosures;<\/li>\n\n\n\n<li>related-party transactions;<\/li>\n\n\n\n<li>beneficial ownership;<\/li>\n\n\n\n<li>share issuances and transfers;<\/li>\n\n\n\n<li>FEMA reporting;<\/li>\n\n\n\n<li>tax filings;<\/li>\n\n\n\n<li>employment;<\/li>\n\n\n\n<li>intellectual property;<\/li>\n\n\n\n<li>data protection; and<\/li>\n\n\n\n<li>sector-specific licences.<\/li>\n<\/ul>\n\n\n\n<h3 id=\"h-resident-director-requirement\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Resident_Director_Requirement\"><\/span>Resident Director Requirement<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Indian company law generally requires every company to have at least one director satisfying the statutory residence requirement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A foreign nominee director should also understand that appointment by the parent company does not remove the director&#8217;s statutory duties to the Indian company.<\/p>\n\n\n\n<h2 id=\"h-corporate-governance-and-board-control\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Corporate_Governance_and_Board_Control\"><\/span>Corporate Governance and Board Control<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Foreign investors often focus on ownership percentages, but ownership does not necessarily determine every governance outcome.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The governance structure should address:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>board appointment rights;<\/li>\n\n\n\n<li>quorum;<\/li>\n\n\n\n<li>reserved matters;<\/li>\n\n\n\n<li>voting rights;<\/li>\n\n\n\n<li>shareholder resolutions;<\/li>\n\n\n\n<li>director duties;<\/li>\n\n\n\n<li>conflicts;<\/li>\n\n\n\n<li>related-party transactions;<\/li>\n\n\n\n<li>information rights; and<\/li>\n\n\n\n<li>minority protections.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The practical question is:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Who controls which decision, through which legal mechanism, and subject to which statutory limitation?<\/strong><\/p>\n\n\n\n<h2 id=\"h-shareholders-agreements-articles-and-section-6\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Shareholders_Agreements_Articles_and_Section_6\"><\/span>Shareholders&#8217; Agreements, Articles and Section 6<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Companies Act, Articles of Association and shareholders&#8217; agreement should be considered together.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 6 of the Companies Act provides that the Act prevails over inconsistent provisions in the memorandum, Articles, agreements or resolutions, subject to the statutory language and exceptions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That does not mean every shareholders&#8217; agreement provision is invalid.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Board nomination rights, reserved matters, transfer restrictions, pre-emption, tag rights and drag rights can remain commercially important, but they must be structured consistently with mandatory company law. Ltd., 2023 INSC 1051<\/em><\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">is important for cross-border corporate groups.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The group-of-companies doctrine may, in appropriate circumstances, extend an arbitration agreement to a non-signatory group entity where the evidence establishes the necessary intention and involvement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But group membership alone is insufficient.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The transaction should therefore make clear:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>which entity negotiated the agreement;<\/li>\n\n\n\n<li>which entity performed it;<\/li>\n\n\n\n<li>which entity benefited;<\/li>\n\n\n\n<li>which entity exercised relevant control; and<\/li>\n\n\n\n<li>what the parties intended regarding arbitration.<\/li>\n<\/ul>\n\n\n\n<h2 id=\"h-22-foreign-court-judgements-vs-foreign-arbitral-awards\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"22_Foreign_Court_Judgements_vs_Foreign_Arbitral_Awards\"><\/span>22.
