were his own, A may be liable for conversion.<\/p>\n\n\n\n<h2 id=\"h-meaning-of-conversion\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Meaning_of_Conversion\"><\/span>Meaning of Conversion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Conversion is an intentional dealing with another person\u2019s movable property that seriously interferes with that person\u2019s right to possess it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The focus is not usually on whether the defendant intended to cause harm, but on whether the defendant intentionally exercised control over the goods in a manner inconsistent with the claimant\u2019s rights.<\/p>\n\n\n\n<h2 id=\"h-essential-elements\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Essential_Elements\"><\/span>Essential Elements<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The main elements of conversion are:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Movable property:<\/strong> The subject matter must ordinarily be identifiable movable property or goods.<\/li>\n\n\n\n<li><strong>Right to possession:<\/strong> The claimant must have a legal right to immediate possession of the goods.<\/li>\n\n\n\n<li><strong>Wrongful interference:<\/strong> The defendant must exercise control or deal with the goods inconsistently with the claimant\u2019s rights.<\/li>\n\n\n\n<li><strong>Intentional act:<\/strong> The interference must generally be a voluntary act. It is not necessary to prove an intention to commit a legal wrong.<\/li>\n\n\n\n<li><strong>Deprivation or serious interference:<\/strong> The conduct must substantially interfere with the claimant\u2019s possession or rights.<\/li>\n\n\n\n<li><strong>Damage:<\/strong> The claimant must establish the loss or interference caused by the conversion, for which an appropriate remedy may be granted.<\/li>\n<\/ul>\n\n\n\n<h2 id=\"h-common-forms-of-conversion\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Common_Forms_of_Conversion\"><\/span>Common Forms of Conversion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Conversion may take several forms:<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th>Form of Conversion<\/th><th>Meaning<\/th><\/tr><\/thead><tbody><tr><td><strong>Taking<\/strong><\/td><td>Wrongfully taking another person\u2019s goods.<\/td><\/tr><tr><td><strong>Detention<\/strong><\/td><td>Wrongfully retaining goods after the right to retain them has ended.<\/td><\/tr><tr><td><strong>Wrongful sale<\/strong><\/td><td>Selling another person\u2019s goods without authority.<\/td><\/tr><tr><td><strong>Wrongful transfer<\/strong><\/td><td>Transferring goods to another person in denial of the owner\u2019s rights.<\/td><\/tr><tr><td><strong>Wrongful use<\/strong><\/td><td>Using another person\u2019s goods in a substantially inconsistent manner.<\/td><\/tr><tr><td><strong>Destruction<\/strong><\/td><td>Wrongfully destroying another person\u2019s goods.<\/td><\/tr><tr><td><strong>Refusal to return goods<\/strong><\/td><td>A wrongful refusal to return goods to a person entitled to immediate possession.<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<h2 id=\"h-conversion-and-trespass-to-goods\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conversion_and_Trespass_to_Goods\"><\/span>Conversion and Trespass to Goods<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Although the expressions are sometimes used interchangeably, a useful distinction exists:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Trespass to goods<\/strong> generally involves a direct and wrongful interference with another\u2019s possession of movable property.<\/li>\n\n\n\n<li><strong>Conversion<\/strong> is a more serious interference involving an exercise of dominion or control over the goods inconsistent with the claimant\u2019s rights.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Example:<\/strong> Merely touching or moving another\u2019s goods without lawful authority may constitute trespass. Selling, destroying, or wrongfully retaining the goods is more likely to constitute conversion.<\/p>\n\n\n\n<h2 id=\"h-who-can-sue\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Who_Can_Sue\"><\/span>Who Can Sue?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A person who has a better right to immediate possession of the goods may bring an action for conversion.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The claimant need not always be the absolute owner. A person having lawful possession or a superior right to possession may also have a claim.<\/p>\n\n\n\n<h2 id=\"h-who-can-be-sued\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Who_Can_Be_Sued\"><\/span>Who Can Be Sued?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Any person who wrongfully exercises control over another\u2019s goods may potentially be liable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Liability may arise even where the defendant mistakenly believed he had a right to deal with the goods, because conversion focuses on the wrongful interference with the claimant\u2019s possessory rights rather than the defendant\u2019s intention to commit a legal wrong.<\/p>\n\n\n\n<h2 id=\"h-defences\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Defences\"><\/span>Defences<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Depending on the facts, the following may provide a defence:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Consent or authority of the owner or person entitled to possession.<\/li>\n\n\n\n<li>Lawful possession or lawful authority to deal with the goods.<\/li>\n\n\n\n<li>Claim of right, where legally recognised.<\/li>\n\n\n\n<li>Abandonment of the property by its owner.<\/li>\n\n\n\n<li>Statutory authority or other legal justification.<\/li>\n\n\n\n<li>Lack of sufficient interference to constitute conversion.<\/li>\n\n\n\n<li>In appropriate cases, innocent delivery or dealing may affect liability or the remedy.<\/li>\n<\/ul>\n\n\n\n<h2 id=\"h-remedies\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Remedies\"><\/span>Remedies<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The principal remedies for conversion include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Damages:<\/strong> Compensation for the value of the goods and the loss suffered.<\/li>\n\n\n\n<li><strong>Return of the goods:<\/strong> Where appropriate, the claimant may seek recovery of the goods.<\/li>\n\n\n\n<li><strong>Compensation for consequential loss:<\/strong> Additional loss flowing from the conversion may be recoverable where legally recognised and properly proved.<\/li>\n<\/ul>\n\n\n\n<h2 id=\"h-important-indian-judicial-principles\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Important_Indian_Judicial_Principles\"><\/span>Important Indian Judicial Principles<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Indian courts have applied the principles of conversion in cases involving wrongful interference with movable property.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>In <strong>D. Saxena v. Balram Prasad Sharma (2000) 7 SCC 264<\/strong>, the Supreme Court considered the nature of a lawyer\u2019s lien over a client\u2019s files and held that case files are not goods over which such a lien could be claimed in the circumstances. The decision illustrates the importance of determining the nature of the property and the legal right claimed over it.<\/li>\n\n\n\n<li>In <strong>A. Mathai v. K. V. S. &amp; Co. (2017) 5 SCC 362<\/strong>, the Supreme Court discussed principles relating to conversion and wrongful dealing with property, emphasising that liability depends upon the nature of the interference with another person\u2019s rights.<\/li>\n\n\n\n<li>In <strong>Fouldes v. Willoughby (1841) 8 M &amp; W 540<\/strong>, the English court held that merely removing another person&#8217;s goods, without exercising ownership or control over them, did not amount to conversion, though it could constitute trespass to goods.<\/li>\n\n\n\n<li>In <strong>Kuwait Airways Corporation v. Iraqi Airways Co. [2002] 2 AC 883<\/strong>, the House of Lords held that wrongful possession and dealing with another&#8217;s aircraft as one&#8217;s own amounted to conversion. These cases show that conversion requires a substantial interference with another person&#8217;s right to possess or control movable property.<\/li>\n<\/ul>\n\n\n\n<h2 id=\"h-simple-examples\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Simple_Examples\"><\/span>Simple Examples<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A takes B\u2019s laptop without permission and sells it \u2192 conversion.<\/li>\n\n\n\n<li>A borrows B\u2019s camera with permission but refuses to return it after being lawfully asked \u2192 may amount to conversion.<\/li>\n\n\n\n<li>A destroys B\u2019s furniture deliberately without legal authority \u2192 conversion.<\/li>\n\n\n\n<li>A finds goods belonging to B and wrongfully treats them as his own \u2192 may constitute conversion.<\/li>\n<\/ul>\n\n\n\n<h2 id=\"h-conclusion\" class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Conversion protects a person\u2019s possessory and proprietary rights over movable property. It occurs when someone wrongfully exercises control over another\u2019s goods in a manner inconsistent with the rights of the person entitled to them. Taking, selling, destroying, transferring, or wrongfully retaining goods are common examples.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The central question is simple: Has the defendant dealt with the goods in a way that seriously interferes with the claimant\u2019s right to possess them?
