The agreed payment is supposed to arrive shortly. First, you are asked to wait a few more days. Then the promised date passes. Eventually, your calls and messages go unanswered.

Unfortunately, payment disputes are not uncommon in the film industry. They can affect writers, lyricists, composers, technicians, editors, production teams, independent contractors and other professionals who contribute their time and work to a project.

Recovering Unpaid Dues in the Film Industry

Recovering unpaid dues, however, is not always as simple as sending a legal notice. The right course of action depends on the agreement, the evidence available, the party responsible for payment and the nature of the dispute. In some cases, arbitration or a commercial suit may be appropriate. In others, the immediate concern may be preserving evidence, protecting contractual rights or preventing the transfer of disputed assets.

Legal Remedies Under Indian Law

In this article, I explain the principal legal remedies available under Indian law and the issues I would examine before deciding how to proceed.

1. Start by Collecting the Evidence

Before considering legal proceedings, I would first establish what was agreed, what work was completed and how much remains unpaid.

Ideally, you should preserve the following documents:

The signed agreement, work order or engagement letter.

Invoices, payment schedules and records of outstanding amounts.

Emails and WhatsApp messages discussing the work, fees or payment dates.

Scripts, recordings, drafts, edited material or other work delivered.

Call sheets, attendance records and communications confirming completion.

Bank statements and records of payments already received.

Messages in which the producer or production company acknowledges the outstanding amount.

Any communication concerning deductions, revisions, acceptance of work or disputed deliverables.

A signed contract is valuable, but the absence of one does not automatically mean that you have no legal remedy. Depending on the circumstances, emails, messages and the parties’ conduct may help establish the agreement and its terms.

The important question is whether the available evidence establishes the engagement, the agreed consideration, the work performed and the obligation to pay.

Preserve Electronic Evidence Properly

WhatsApp conversations, emails and digital files can be important evidence in a payment dispute. However, a few screenshots may not adequately establish the full context of a conversation or the authenticity of a document.

Keep the original messages and attachments wherever possible. Preserve complete conversations, relevant account details, invoices and payment confirmations. Avoid deleting the original files or relying exclusively on edited screenshots.

The Bharatiya Sakshya Adhiniyam, 2023, which came into force on 1 July 2024, contains the current statutory framework for electronic evidence, including Section 63. The applicable requirements must be considered in the context of the proceedings and the relevant transitional provisions.

In Arjun Panditrao Khotkar v. Kailash Kushanrao Gorantyal, (2020) 7 SCC 1, the Supreme Court examined the certificate requirement under Section 65B of the former Indian Evidence Act, 1872. That judgment remains important when considering the earlier statutory regime, but it should not be treated as a direct interpretation of Section 63 of the new Act.

Preserving the evidence at the beginning can make a substantial difference when the dispute eventually reaches court or arbitration.

2. Identify the Correct Party Responsible for Payment

One issue that deserves particular attention in the film industry is the identity of the party that actually owes the money.

A film may involve a producer, a production company, a co-producer, a distributor, a commissioning platform and several other entities. The person who negotiated your fee may not be the person or company that signed the agreement.

Before sending a legal notice, examine the contract and identify the party that undertook the payment obligation.

You should also determine whether the agreed amount has become payable. Some contracts link payment to the completion of a particular schedule, acceptance of the work, delivery of specified materials or another milestone.

Check the Contractual Payment Conditions

For example, if the agreement provides for payment after delivery and approval of a screenplay, the relevant questions may include whether the screenplay was delivered, whether the contractual approval process was followed and whether the payment deadline has passed.

Distinguish Between Company and Individual Liability

It is equally important to distinguish between a company and the individual associated with it. A producer’s involvement in a project does not automatically make that person personally liable for every debt of the production company. Personal liability must have an independent legal basis.

If the project was handled through a special-purpose company created for a single film, it may also be necessary to examine the company’s legal identity, contractual obligations and available assets. The existence of such a company does not, by itself, establish either that recovery is impossible or that another associated entity is liable.

3. Check the Limitation Period Before Taking Action

Limitation is one of the most important issues in a recovery dispute. Even a genuine claim can face serious procedural difficulties if legal proceedings are initiated after the applicable limitation period has expired.

Many contractual money claims carry a three-year limitation period under the Limitation Act, 1963. However, the relevant provision and the date from which time begins to run depend on the nature of the claim and the terms of the agreement.

Three provisions are particularly relevant in some contractual disputes.

Limitation Provision

General Application

Article 18

Generally concerns the price of work done at the defendant’s request where no time for payment has been fixed. The limitation period ordinarily runs from when the work is done.

Article 55

Concerns compensation for breach of contract. Its application and the starting point depend on the nature of the breach and the terms of the provision, including its treatment of successive or continuing breaches.

Article 113

Is the residuary provision. It applies where no other specific Article in the Schedule governs the claim, with limitation ordinarily running from when the right to sue accrues.

These provisions should not be treated as interchangeable. For instance, the limitation analysis for an unpaid invoice may differ from that for a claim seeking damages for breach of contract.

Can an Acknowledgment Extend Limitation?

Sections 18 and 19 of the Limitation Act address circumstances in which a written acknowledgment of liability or a qualifying part-payment may result in a fresh limitation period.

Section 18 generally requires an acknowledgment in writing, signed by the party against whom the right is claimed or a duly authorised agent, before the existing limitation period expires.

Section 19 deals with qualifying part-payments and contains its own statutory requirements.

A written message acknowledging an outstanding amount may therefore be relevant, but its legal effect depends on its wording, timing and the applicable statutory conditions. An informal oral promise to pay does not automatically extend limitation. A separate written and signed promise to pay a time-barred debt may raise a different issue under Section 25(3) of the Indian Contract Act, 1872.

I would not advise anyone to assume that ongoing negotiations, repeated assurances of payment or an unanswered legal notice have stopped the limitation clock.

If payment has been pending for months or years, check limitation before spending more time negotiating.

4. Send a Legal Notice Based on the Actual Agreement

A legal notice is often a sensible step before commencing proceedings, although its necessity and effect depend on the remedy being pursued.

A properly drafted notice should explain the contractual arrangement, identify the amount claimed, describe the alleged breach and state the basis for demanding payment.

Where relevant, it should also address:

The work completed and the date of delivery.

The agreed payment terms and the date payment became due.

Any payments already received.

The calculation of the outstanding amount.

The contractual or legal basis for any interest claimed.

Any relevant correspondence acknowledging the debt.

The action proposed if the dispute remains unresolved.

A notice may encourage settlement by putting the claim and supporting facts in a clear, formal record.

However, a legal notice does not automatically establish liability, extend limitation or replace a notice specifically required by statute. If the intended remedy has a mandatory notice procedure, that procedure must be followed separately.

The notice should also avoid unsupported allegations. A demand for payment is generally stronger when it is supported by the agreement, invoices and contemporaneous communications rather than exaggerated threats.

5. If a Cheque Issued for Payment Is Dishonoured

Where payment was made through a cheque that was subsequently dishonoured, Section 138 of the Negotiable Instruments Act, 1881, may provide a criminal remedy if its statutory requirements are satisfied.

The procedure involves strict timelines.

First, present the cheque within its applicable validity period. Cheques are ordinarily valid for three months from their date under the applicable banking framework.

Second, issue the demand notice within 30 days of receiving information from the bank that the cheque has been dishonoured.

Third, allow the drawer 15 days from receipt of the notice to make payment.

Fourth, if payment is not made, calculate the date on which the cause of action arises under Section 138.

Finally, file the complaint within one month from the date on which that cause of action arises, as required by Section 142(1)(b), subject to the court’s statutory power to condone delay for sufficient cause.

These dates must be calculated carefully. The fact that a cheque has bounced does not eliminate the need to comply with the prescribed procedure.

Sections 143A and 148 of the Act also provide for interim compensation and deposits in specified circumstances. Their application depends on the statutory requirements and the stage of the proceedings; they should not be treated as automatic entitlements in every case.

A cheque-dishonour complaint should be considered on its own legal merits. It should not be used merely as a threat to pressure someone into paying an ordinary contractual debt.

6. Review the Arbitration Clause Before Filing a Suit

Many agreements in the film industry contain arbitration clauses. These clauses may require disputes arising from the agreement to be resolved through arbitration.

Before initiating proceedings, I would examine whether the agreement contains a valid arbitration clause, how an arbitrator is to be appointed and whether any pre-arbitration procedure must be followed.

Appointment of an Arbitrator Under Section 11

Section 11 of the Arbitration and Conciliation Act, 1996, provides a statutory route for seeking the appointment of an arbitrator where the agreed appointment procedure fails and the applicable legal requirements are met.

The precise procedure depends on the arbitration agreement and the governing law.

Interim Protection Under Section 9

Section 9 allows a party to seek specified interim measures from a court before or during arbitral proceedings, or after an arbitral award but before its enforcement under Section 36.

Depending on the circumstances, interim protection may be relevant where property needs to be preserved, the subject matter of the dispute is at risk or there is a legally sufficient basis to secure the amount in dispute.

For a film-industry client, the concern might involve a disputed asset, a threatened transfer of particular contractual rights or the preservation of property pending arbitration.

However, an unpaid invoice does not automatically justify freezing all of a producer’s assets or preventing a film from being released. The applicant must establish a proper legal basis for the relief sought, and the court will assess the facts and applicable legal requirements.

Section 9 can be invoked before arbitration begins. Where a court grants pre-arbitration relief, Section 9(2) requires the arbitral proceedings to commence within 90 days of the court’s order or within such further time as the court determines.

Once the arbitral tribunal has been constituted, Section 9(3) restricts the court’s ability to entertain an application unless circumstances may render the remedy under Section 17 inefficacious.

The choice between arbitration, interim relief and a civil proceeding should therefore be made after examining the agreement and the urgency of the dispute.

7. Consider a Commercial Suit or Summary Suit

A payment dispute arising from a film-related contract may qualify as a commercial dispute under the Commercial Courts Act, 2015. That depends on the nature of the transaction, the statutory definition and the applicable specified-value requirement.

The entertainment industry is not automatically covered merely because the parties are engaged in commercial activity. The statutory requirements must be satisfied.

Pre-Institution Mediation

Section 12A of the Commercial Courts Act generally requires pre-institution mediation for commercial suits that do not contemplate urgent interim relief.

In Patil Automation Private Limited and Others v. Rakheja Engineers Private Limited, (2022) 10 SCC 1, decided on 17 August 2022, the Supreme Court held that pre-institution mediation under Section 12A is mandatory where the provision applies.

The Court directed prospective application from 20 August 2022 and recognised that non-compliance could result in rejection of the plaint under Order VII Rule 11 of the Code of Civil Procedure, 1908.

The exception for suits genuinely contemplating urgent interim relief must be assessed on the facts. It should not be invoked merely to avoid mediation.

When Can a Summary Suit Help?

Order XXXVII of the Code of Civil Procedure provides a summary procedure for certain qualifying claims, including specified claims based on written contracts and other instruments covered by the Order.

A summary suit may be worth considering where the amount claimed is supported by an eligible written contract and the statutory requirements are satisfied.

However, not every unpaid invoice qualifies.

Film-industry payment disputes sometimes involve revenue-sharing calculations, deductions, production-cost recoupment, contingent remuneration or disputed accounts. Such claims may require a different procedure, depending on the contractual terms and the relief sought.

The availability of a summary suit should therefore be assessed before filing, rather than assumed simply because the claimant has issued an invoice.

8. Consider Insolvency Proceedings Only Where the Statutory Requirements Are Met

Where the debtor is a qualifying corporate entity, the Insolvency and Bankruptcy Code, 2016, may provide another route in appropriate circumstances.

The current minimum default threshold for the ordinary corporate insolvency resolution process is ₹1 crore, subject to the applicable statutory framework.

An operational creditor may issue a demand notice under Section 8 if the debt, creditor and debtor fall within the relevant definitions and the other statutory requirements are satisfied.

Section 8 provides a period of 10 days for the corporate debtor to bring a qualifying dispute or relevant record of pending proceedings to the creditor’s notice and to deal with payment in accordance with the provision.

A genuine pre-existing dispute may prevent admission of an application under Section 9.

In Mobilox Innovations Private Limited v. Kirusa Software Private Limited, (2018) 1 SCC 353, decided on 21 September 2017, the Supreme Court explained how the adjudicating authority should assess a dispute raised in response to an operational creditor’s claim.

The Court held, in substance, that the authority must consider whether there is a plausible contention requiring investigation, rather than a patently feeble legal argument or an unsupported assertion. The admission-stage assessment is not intended to become a full trial of the underlying contractual dispute.

Insolvency Is Not an Ordinary Debt-Collection Mechanism

The IBC has a distinct insolvency-resolution purpose. It should not be treated as a routine substitute for a civil suit, arbitration or execution proceeding.

Before choosing this route, a creditor should establish that the debtor is a qualifying corporate entity, that the claim constitutes the relevant type of debt, that the default threshold is met and that no disqualifying dispute or other legal obstacle prevents the proposed proceeding.

Limitation Must Also Be Considered

Limitation must also be considered.

In M/s HPCL Bio-Fuels Ltd. v. M/s Shahaji Bhanudas Bhad, 2024 INSC 851, decided on 7 November 2024, the Supreme Court addressed issues concerning insolvency proceedings, arbitration and limitation. A creditor should not assume that time spent pursuing an insolvency remedy will automatically be excluded when another remedy is later pursued.

The IBC should therefore be considered only after examining the nature of the debt, the debtor’s legal status, the existence of a dispute and the limitation position.

9. Protect Your Copyright and Contractual Rights

Payment disputes in the film industry can overlap with questions of copyright ownership and exploitation.

A writer, lyricist, composer, editor or other contributor may have a contractual claim for unpaid remuneration. Whether that person also owns copyright, retains particular rights or is entitled to specified royalties is a separate question.

The answer depends on the nature of the work, the circumstances in which it was created and the terms of the relevant agreement.

Who Owns the Copyright?

Section 17 of the Copyright Act, 1957, addresses first ownership of copyright and contains statutory exceptions. Its application depends on the type of work and the circumstances in which it was created.

A film project may involve several distinct works, including:

A screenplay or script.

Dialogue and underlying literary material.

Lyrics and musical compositions.

Sound recordings.

The cinematograph film itself.

Photographs, artwork and promotional material.

Ownership of one category does not automatically resolve every ownership question concerning the others.

For this reason, I would examine the actual agreement and the applicable statutory provisions before advising a client on whether particular rights were transferred or retained.

What Makes an Assignment Valid?

Section 19(1) of the Copyright Act requires an assignment to be in writing and signed by the assignor or a duly authorised agent.

Section 19(2) addresses identification of the work and specification of the rights assigned, their duration and territorial extent. Section 19(3) addresses royalty and other consideration, subject to the statutory terms.

The Act also provides certain default rules:

Section 19(4): Where the assignee does not exercise the assigned rights within one year from the date of assignment, the assignment in respect of those rights is deemed to have lapsed unless otherwise specified in the assignment.

Section 19(5): Where the assignment does not specify its duration, the statutory default is five years.

Section 19(6): Where the assignment does not specify its territorial extent, the statutory default is India.

These provisions must be read with the agreement and the Act as a whole. Their application should not be assumed without checking the actual wording of the assignment.

Royalty Rights of Lyricists and Composers

The Copyright (Amendment) Act, 2012, introduced important protections concerning the royalty rights of authors of literary and musical works incorporated in cinematograph films.

The relevant provisions include the provisos to Section 18(1) and Sections 19(9) and 19(10).

These provisions protect specified royalty rights subject to their statutory language and exceptions. Their application depends on the nature of the work, the contractual arrangement and the proposed use of the work.

A lyricist or composer should therefore not assume that every royalty right has been surrendered merely because an agreement contains broad assignment language. Equally, it would be incorrect to assume that every author automatically enjoys identical royalty entitlements in every transaction.

The contract and the applicable provisions must be examined together.

Can an Unpaid Fee Justify Stopping a Film’s Release?

Not automatically.

An unpaid contractual fee and a dispute over copyright ownership are different legal issues. The fact that a producer has failed to pay does not, by itself, establish a right to prevent the release or exploitation of the entire film.

Where there is a genuine dispute concerning ownership, the scope of an assignment or unauthorised exploitation, the appropriate remedy must be assessed on its own merits.

Any application for an injunction or other interim relief must have a proper legal basis. The agreement, the rights involved, the urgency of the situation and the interests of affected third parties may all be relevant.

10. Why an Unpaid Contractual Debt Should Not Automatically Become a Criminal Case

When payment is delayed, it can be tempting to threaten an FIR in the hope that the producer will settle immediately. That approach requires caution.

A breach of contract or failure to pay an invoice does not, by itself, establish cheating, criminal breach of trust or another criminal offence.

At the same time, the existence of a civil dispute does not automatically exclude criminal liability. A commercial transaction may also involve criminal conduct if the facts independently satisfy the ingredients of an offence.

In Anukul Singh v. State of Uttar Pradesh and Another, 2025 INSC 1153, decided on 24 September 2025, the Supreme Court considered criminal proceedings arising from allegations of cheating and forgery in a property dispute. The case illustrates the importance of examining the allegations and supporting material against the ingredients of the offences alleged.

The correct approach is to assess the actual conduct, representations, intention and applicable statutory provisions. A payment default should not automatically be labelled criminal, and a genuine allegation of criminal conduct should not be dismissed solely because the parties also have a civil dispute.

Any criminal complaint should be based on facts that independently support the alleged offence, rather than being used merely as leverage to recover an ordinary contractual debt.

Final Thoughts

An unpaid fee can be frustrating, particularly when you have completed your work and fulfilled your contractual obligations. But the most effective response is not always the most aggressive one.

I would begin by examining the agreement, identifying the correct debtor, preserving the evidence and checking limitation. I would then assess whether the matter calls for a legal notice, a cheque-dishonour complaint, arbitration, a commercial suit, a copyright remedy or, where the statutory requirements are met, an insolvency proceeding.

The right course of action depends on the documents, the facts and the legal rights involved. Taking the time to identify those issues at the outset can help avoid unnecessary proceedings and protect the remedies that remain available.

🎬 Producer Not Paying You? Taking timely legal advice is important because limitation periods may restrict how long you have to initiate recovery proceedings.

2. How Can I Send a Legal Notice to a Film Producer for Non-Payment?

A legal notice for non-payment of dues formally communicates your claim to the film producer or production house and demands payment within a specified period. It should identify the outstanding amount, explain the contractual or factual basis of the claim, refer to relevant supporting documents, and state the legal consequences of continued non-payment. A properly drafted legal notice for recovery of unpaid dues from a film producer can help clarify the dispute and may encourage a settlement. However, a legal notice does not guarantee payment or automatically extend the limitation period.

3. Can I File a Case Against a Production House for Non-Payment of Contractual Dues?

Yes, legal proceedings may be available if a production house fails to honour its payment obligations. Depending on the contract, the nature of the dispute, the amount claimed, and the evidence, possible remedies may include a civil recovery suit, a summary suit where legally maintainable, arbitration under an applicable arbitration agreement, or proceedings under the Negotiable Instruments Act in an appropriate cheque-dishonour case. The correct legal remedy for a production house payment dispute depends on the specific facts and applicable law. An advocate can help assess the appropriate forum, procedural requirements, and potential costs.

4. What Is the Time Limit for Recovering Unpaid Payments from a Film Producer in India?

The limitation period for recovering unpaid contractual dues in India depends on the nature of the claim, the applicable legal provision, and when the cause of action arose. Many ordinary contractual money-recovery claims are subject to a three-year limitation period, but the precise starting date and applicable limitation rule can vary. A written acknowledgment of liability or qualifying part-payment may affect limitation in certain circumstances, subject to statutory requirements. If a producer has delayed payment for months or years, seek legal advice promptly rather than assuming that negotiations or repeated payment promises have preserved your claim.

5. Can an Actor, Director, Writer, Technician, or Freelancer Recover Unpaid Fees from a Film Producer?

Yes. Actors, directors, screenwriters, lyricists, musicians, editors, cinematographers, technicians, freelancers, and other entertainment-industry professionals may have legal remedies when agreed remuneration or contractual payments remain unpaid. Depending on the circumstances, recovery may be based on a written contract, invoices, work orders, correspondence, payment commitments, or other evidence establishing the engagement and outstanding amount. Copyright ownership and royalty claims may raise additional issues where creative rights are involved. If you are facing non-payment in the film industry, obtaining legal advice early can help you understand your options and protect your contractual rights.

Key Takeaways: How to Recover Unpaid Dues from a Film Producer in India

You can take legal action against a film producer for non-payment: Actors, directors, writers, technicians, freelancers, and production service providers may have legal remedies when agreed fees, remuneration, or contractual dues remain unpaid.

Preserve evidence before initiating legal proceedings: Keep copies of contracts, invoices, work orders, bank statements, emails, WhatsApp messages, payment acknowledgments, and records of work completed. These documents may help establish the agreement, outstanding amount, and liability.

A legal notice can be an important first step: A properly drafted legal notice for recovery of unpaid dues can formally demand payment and explain the legal basis of the claim. However, sending a notice does not guarantee recovery or automatically extend the limitation period.

Check the limitation period without delay: Many contractual money-recovery claims are subject to a three-year limitation period, but the applicable period and its starting date depend on the nature of the claim and relevant legal provisions. Do not delay seeking legal advice.

Choose the appropriate legal remedy: Depending on the contract and circumstances, possible options may include a civil recovery suit, a summary suit under Order XXXVII of the Code of Civil Procedure where maintainable, arbitration, or cheque-dishonour proceedings under the Negotiable Instruments Act, 1881, where statutory requirements are satisfied.

Pre-litigation mediation may be mandatory in certain commercial disputes: Section 12A of the Commercial Courts Act, 2015 generally requires pre-institution mediation for qualifying commercial suits that do not contemplate urgent interim relief, subject to the applicable legal framework.

IBC proceedings are not a routine debt-recovery shortcut: Insolvency proceedings under the Insolvency and Bankruptcy Code, 2016 require the applicable statutory conditions to be met. A genuine pre-existing dispute may prevent a claim from proceeding as an operational debt insolvency application.

Copyright and royalty disputes require separate consideration: Where unpaid remuneration involves authorship, copyright ownership, assignments, licences, or statutory royalty rights, the Copyright Act, 1957 and the terms of the relevant agreement may affect the available remedies.

Criminal proceedings are not a substitute for an ordinary payment-recovery case: Mere non-payment of a contractual debt does not automatically establish a criminal offence. The facts must independently satisfy the legal ingredients of any alleged offence.

Timely legal advice can help protect your claim: An advocate can review the contract, identify the correct party liable for payment, assess limitation, evaluate the available evidence, and advise on an appropriate recovery strategy.

Need Legal Guidance for Unpaid Film Industry Dues?

Adv.
