A producer may be able to claim compensation for a proven contractual breach, yet may not be entitled to force an actor or director to continue providing personal services. Similarly, a professional whose engagement is terminated may be entitled to unpaid fees or other compensation, depending on the agreement and the circumstances.

The Bombay High Court’s decision in Avanika Films LLP v. Abhay Verma, decided on 15 September 2025, illustrates these limits. The Court refused an interim injunction that would have restricted the actor from accepting other work, but it did not finally decide the producer’s damages claim.

The practical message is simple: clear contracts, reliable evidence and a realistic understanding of available remedies can make a significant difference when a film project runs into trouble.

Introduction

Making a film is a team effort. The producer invests money and manages the project, the director brings the story to life, the actors perform their roles, and the technicians make the production possible.

Everyone has a part to play, and the work of one person often depends on the availability of others.

Now imagine that the lead actor withdraws shortly before shooting begins. Locations have been booked, supporting actors are ready, technicians have arranged their schedules, and money has already been spent. The producer suddenly faces a difficult question: can the actor be stopped from working on another film, or can the producer only claim compensation?

The situation can be equally difficult for the professional.

A director may be removed after months of preparation. A cinematographer may complete the agreed work but receive no payment. An editor may deliver the required material only to find that the producer has terminated the agreement and is refusing to release the final instalment.

These are not merely professional disagreements. They can become serious legal disputes involving contractual obligations, financial loss, exclusivity, intellectual property and reputation.

The law does not automatically favour the producer simply because a large amount of money has been invested. Nor does it allow a professional to ignore a binding agreement without consequences.

The real issue is whether the contract was breached, who was responsible, what loss followed, and what remedy the law permits.

Also Read: Idea Theft, Script Plagiarism and Film Title Disputes: How Writers and Producers Protect Their Work in India

1. What Does Indian Law Say About Termination of a Film Contract?

When an actor, director or technician is terminated midway through a project—or walks away before completing the agreed work—the first document to examine is the contract.

The agreement may specify the duration of the engagement, payment terms, shooting dates, exclusivity requirements, termination rights and consequences of a breach.

The Indian Contract Act, 1872, and the Specific Relief Act, 1963, are particularly important in these disputes.

Section 73 of the Contract Act deals with compensation for loss or damage caused by a breach of contract. Section 74 concerns reasonable compensation where the contract names an amount payable upon breach or contains a stipulation by way of penalty.

Sections 14 and 41(e) of the Specific Relief Act are relevant when a party seeks an order compelling the performance of a personal-service contract or preventing its breach through an injunction.

Section 27 of the Contract Act also matters where an agreement attempts to restrict a person’s ability to work elsewhere.

The Copyright Act, 1957, may become relevant when the dispute concerns ownership or use of footage, music, performances or other creative contributions.

Key Laws and Their Relevance

Legal Provision

Relevance to Film Contract Disputes

Section 73, Indian Contract Act, 1872

Compensation for loss or damage caused by a breach of contract.

Section 74, Indian Contract Act, 1872

Reasonable compensation where the contract specifies an amount payable upon breach or contains a penalty stipulation.

Section 27, Indian Contract Act, 1872

Restrictions on a person’s ability to work elsewhere.

Sections 14 and 41(e), Specific Relief Act, 1963

Issues concerning specific performance of personal-service contracts and injunctions against their breach.

Copyright Act, 1957

Ownership and use of footage, music, performances and other creative contributions.

Each of these provisions addresses a different aspect of the dispute. A producer may have a valid claim for damages but no right to obtain an injunction compelling an actor to work. Similarly, a professional may be entitled to payment already earned without necessarily being entitled to every amount they expected to receive over the remaining term of the agreement.

Understanding these distinctions is essential before deciding what legal action to take.

2. Khubalkar of the Bombay High Court on 15 September 2025.

The matter arose from Interim Application (L) No. 24289 of 2025 in Commercial Suit (L) No. 24272 of 2025.

The dispute concerned an artist agreement and the producer’s attempt to enforce an exclusivity obligation after the actor had terminated the agreement.

Also Read: Film Piracy Leaked Online? The scheduled shooting period was from 5 September to 20 November 2025.

According to the producer, the actor subsequently informed the production that his existing professional commitments conflicted with the shooting schedule. He terminated the agreement on 12 July 2025.

The producer approached the Bombay High Court seeking, among other reliefs, an injunction preventing the actor from undertaking similar services for other productions during the agreed period. The suit also sought a declaration concerning the termination and damages of ₹12 crore, together with interest.

The producer relied on the exclusivity clause in the agreement and argued that the actor’s withdrawal threatened the production and exposed it to substantial financial loss.

The actor opposed the injunction, contending that the order sought would effectively prevent him from working in his profession.

Why Did the Court Refuse the Injunction?

The Court looked at the practical effect of the proposed order.

Although the producer relied on a negative covenant in the agreement, enforcing it in the circumstances would have prevented the actor from accepting other acting assignments during the relevant period.

The Court treated the agreement as one involving personal services. It held that granting the injunction would effectively enforce that personal-service contract, which was impermissible under Section 41(e) of the Specific Relief Act.

The Court also considered Section 27 of the Indian Contract Act and the effect of the proposed restriction. It observed that the actor would be left sitting idle and that the restraint would operate as a restraint of trade in the circumstances.

The status of the agreement was also relevant. The actor had already terminated it, and the producer had not sought an interim stay of that termination.

The Court further considered whether the producer’s alleged loss could be addressed through monetary compensation. The producer had itself claimed damages, and the agreement contained a liquidated-damages provision.

In the circumstances, the Court refused the requested interim injunction.

Also Read: Idea Theft, Script Plagiarism and Film Title Disputes: How Writers and Producers Protect Their Work in India

What Does the Judgment Mean for the Film Industry?

The decision is important, but it should not be misunderstood.

The Court did not declare that every exclusivity clause in every artist agreement is invalid. It examined the particular agreement, the termination, the relief sought and the applicable legal principles.

Nor did the Court finally decide whether the actor was liable for breach or whether the producer was entitled to ₹12 crore.

The order concerned interim injunctive relief. The producer remained free to pursue the damages claim in the suit and establish its case through the appropriate legal process.

For producers, the lesson is that a contractual breach and the remedy for that breach are two different questions. Even where a damages claim may be available, an injunction preventing an actor from accepting other work may not be legally permissible.

For actors, the decision is not a general licence to abandon contractual commitments. A professional who breaches an enforceable agreement may still face a claim for compensation.

The key distinction is between compelling someone to continue working and seeking compensation for a breach of contract.

3. Can a Producer Force an Actor or Director to Complete a Film?

This is often the first question that arises when a key person leaves a production.

The short answer is that courts do not ordinarily compel the performance of personal-service contracts.

An actor’s performance cannot easily be replaced by a court order. The same is true of a director’s creative contribution or a technician’s specialised work.

Sections 14 and 41(e) of the Specific Relief Act are important here. They restrict specific enforcement of certain contracts and the use of injunctions to prevent the breach of contracts whose performance cannot be specifically enforced.

Suppose a director leaves a film after a disagreement with the producer. The producer may believe that the director’s departure will damage the film commercially. Even so, the producer cannot assume that a court will order the director to return and complete the project.

The producer may instead need to examine whether the departure breached the agreement and whether compensation or another lawful remedy is available.

The same principle may apply when an actor withdraws from a role or a technician refuses to complete agreed work.

Section 42 of the Specific Relief Act also addresses injunctions to enforce negative agreements in certain circumstances. However, it does not provide an unrestricted right to obtain an injunction whenever a contract contains an exclusivity clause. The nature of the agreement, the status of the contractual relationship and the effect of the proposed order must still be considered.

A clause may look straightforward on paper, but the court will examine what enforcing it would actually mean.

4. Exclusivity Clauses: Can an Actor Work on Another Film?

Film producers often require actors and key technicians to remain available during specific periods. Without such commitments, scheduling a production can become extremely difficult.

Consider an actor who agrees to work exclusively on one film from September to November but accepts another assignment that conflicts with the agreed shooting dates.

If the exclusivity obligation is valid and the actor’s conduct breaches it, the producer may have grounds to claim compensation.

However, not every restriction on professional work is enforceable.

Supreme Court Precedents on Exclusivity Clauses

In Niranjan Shankar Golikari v. Century Spinning and Manufacturing Co. Ltd., AIR 1967 SC 1098, the Supreme Court considered a negative covenant operating during the term of an employment contract. The decision is an important authority for distinguishing restrictions operating during a subsisting contractual relationship from restraints imposed after the relationship ends.

In Percept D’Mark (India) Pvt. Ltd. v. Zaheer Khan, (2006) 4 SCC 227, the Supreme Court considered a post-contractual restraint in the context of Section 27 of the Indian Contract Act.

Together, these decisions demonstrate why the timing and effect of a restriction matter.

A clause requiring an actor to remain available during a clearly defined shooting schedule raises different questions from a clause preventing that actor from accepting work after the contract has ended.

The distinction was important in Avanika Films, where the Bombay High Court considered the effect of enforcing the negative covenant after termination of the agreement.

Drafting Enforceable Film Exclusivity Clauses

Producers should therefore define exclusivity obligations carefully. The contract should specify the relevant dates, the nature of the restriction, how schedule changes will be handled, and what happens if either party terminates the agreement.

Actors and technicians should read these clauses just as carefully. Accepting a second assignment without checking an existing commitment can create an avoidable dispute.

5. Can a Producer Claim Damages if an Actor Walks Out?

Yes, a producer may seek damages where the evidence establishes a contractual breach and the requirements for compensation are satisfied.

Section 73 of the Indian Contract Act provides the general framework for assessing loss caused by a breach.

Depending on the facts, a producer might seek compensation for additional expenses arising from the withdrawal, such as:

Rebooking locations or studios.

Rescheduling the shooting programme.

Arranging a replacement actor.

Reorganising the cast and crew.

Paying additional production expenses caused by the delay.

Other foreseeable losses that can be linked to the breach.

Proving Damages for an Actor’s Contract Breach

However, a producer cannot simply state a large figure and expect the court to award it.

The claimed loss must be supported by evidence. The court may consider whether the loss was caused by the breach, whether it was reasonably foreseeable, and whether the producer took reasonable steps to avoid unnecessary additional expenditure.

For example, if an actor withdraws and the producer can reasonably arrange a replacement, the producer’s efforts to minimise the delay may be relevant when assessing the claim.

Costs that would have been incurred even if no breach had occurred cannot automatically be attributed to the departing actor.

What If the Contract Specifies a Penalty?

Section 74 of the Indian Contract Act applies where an agreement names a sum payable in the event of breach or contains a stipulation by way of penalty.

The amount written in the contract is not automatically recoverable in full. The court may award reasonable compensation, subject to the statutory limit and the applicable legal principles.

This matters when an agreement states that an actor must pay a fixed amount for withdrawing from a film or that a technician must pay a substantial penalty for failing to complete an assignment.

The clause is relevant, but it does not guarantee recovery of the stated amount.

Also Read: Someone Cloned My Voice or Face With AI: What Can an Indian Artist Do Legally?

Avanika Films: Damages and Interim Injunction

The Avanika Films decision illustrates the distinction. Although the producer sought ₹12 crore in damages and the agreement contained a liquidated-damages provision, the Court refused the interim injunction sought against the actor. It did not finally decide the damages claim.

6. Wrongful Termination of an Actor, Director or Technician Contract

The problem can also begin with the producer.

A producer may remove an actor because of creative differences, replace a director after a disagreement, or terminate a technician because of delays or a change in production plans.

Whether the termination is lawful depends on the agreement and the circumstances.

Contractual Grounds for Termination

Some contracts permit termination for specified reasons, such as material breach, repeated absence, failure to deliver agreed work or misconduct. Others require written notice or an opportunity to remedy the breach.

If the producer follows the contractual procedure and has a valid reason for termination, the decision may be justified.

But where the producer terminates the agreement contrary to its terms, the affected professional may have grounds to claim unpaid remuneration or other compensation.

Compensation for Wrongful Termination of a Film Contract

Suppose a director has completed substantial preparatory work under a written agreement. The producer then removes the director without relying on any applicable termination provision and refuses to pay an instalment that has already become due.

The director may be able to pursue recovery of that amount. Depending on the contract and evidence, a separate claim for losses arising from wrongful termination may also be available.

It is important to distinguish between remuneration already earned and compensation claimed for the remaining term of the agreement. These are not necessarily the same legal claim.

7. Unpaid Remuneration in the Film Industry

Payment disputes are among the most common problems faced by actors, directors and technicians.

An actor may have completed several shooting days without receiving the agreed fee. An editor may have delivered the required work but not received the final instalment. A cinematographer may have incurred expenses that the producer agreed to reimburse.

Examine the Payment Terms in the Contract

The first step is to examine the payment terms in the contract.

The agreement may specify when an instalment becomes due, whether payment depends on completing a milestone, and what documents must be submitted.

A claim for unpaid remuneration should identify:

The contractual provision requiring payment.

The work completed or milestone achieved.

The amount that has become due.

Any payment already received.

The documents or communications supporting the claim.

The affected professional should preserve the contract, invoices, payment records, call sheets, attendance details, delivery confirmations and relevant messages.

A written demand setting out the outstanding amount and the contractual basis for payment is often a sensible starting point. If the dispute remains unresolved, legal advice can help determine whether a civil claim, arbitration or another procedure is appropriate.

Termination does not automatically allow a producer to withhold every outstanding payment. Equally, the professional should not assume that all future payments become immediately due merely because the engagement has ended.

The position depends on the agreement, the work completed and the applicable law.

8. Screen Credits, Copyright and Performers’ Rights

A film contract may come to an end, but disagreements over creative contributions can continue long afterwards.

An actor may dispute how their performance is used. A singer may object to being described as a backup vocalist when they performed the lead part. A director or technician may claim that the producer has failed to honour an agreed credit.

These disputes need to be examined carefully because payment rights, copyright ownership and attribution are different issues.

What Does Neha Bhasin v. Anand Raj Anand Tell Us?

In Neha Bhasin v. Anand Raj Anand, 132 (2006) DLT 196, the Delhi High Court considered a dispute involving a singer’s voice in three versions of the song “Ek Look Ek Look” for the film Aryan – Unbreakable.

The singer objected to the way her contribution had been credited, arguing that her voice was used while the credits identified her as a backup vocalist rather than the lead female singer.

At the interim stage, the Court found a prima facie basis for requiring appropriate credit. It restrained the defendants from using, selling, distributing, exhibiting or advertising the relevant versions without displaying the singer’s name as the lead female singer. The order also addressed the conditions under which a revised version without her voice could be used.

The decision illustrates that a dispute over screen credit can raise questions beyond the payment of fees. Where a person’s contribution has been used and the agreed or legally required attribution is disputed, a court may consider whether an injunction or another form of relief is appropriate.

However, the judgment does not mean that every disagreement about a screen credit will result in an injunction. The contractual terms, the nature of the contribution and the evidence remain important.

Who Owns the Footage and Other Creative Material?

The Copyright Act, 1957, contains provisions governing ownership and rights in cinematograph films and other creative works.

Section 17 addresses the first owner of copyright, subject to the provisions of the Act and applicable exceptions. In the case of a cinematograph film, the person who takes the initiative and responsibility for making the film may, in the circumstances covered by the Act, be the first owner of copyright in the film.

That does not mean that every underlying work or contribution automatically belongs to the producer in every circumstance. Scripts, music, lyrics and other creative material may require separate examination of the relevant statutory provisions and agreements.

The agreement should therefore specify which rights are being assigned or licensed and how the material may be used.

What About Performers’ Rights?

Sections 38 and 38A of the Copyright Act address performers’ rights and the exclusive rights of performers, subject to the provisions and exceptions in the Act.

These rights should not be confused with ownership of copyright in the film itself. A producer’s ownership of the film does not, by itself, answer every question concerning a performer’s statutory rights or the terms on which a performance may be used.

The legal position depends on the nature of the performance, the relevant rights, the agreement and the applicable statutory provisions.

Producers should address these matters expressly in their agreements. Performers should understand the scope of the rights they are granting and any rights that may continue under the law.

A dispute over who owns a recording is not necessarily the same as a dispute over how the performer must be credited or whether particular performers’ rights apply.

9. Are Technicians Employees or Independent Contractors?

Not everyone working on a film is engaged under the same legal arrangement.

A technician may be hired as an independent freelancer for a particular project, engaged through a service company, or employed under an ongoing arrangement.

The label used in the contract matters, but it is not necessarily conclusive. The actual relationship may need to be examined, including the degree of control over the work, the nature of the engagement, the payment arrangement and other relevant circumstances.

This distinction can affect the legal issues that arise when an engagement ends. Depending on the facts, employment legislation or other statutory protections may be relevant.

For example, a freelance editor engaged to deliver a defined set of files may have a different legal relationship from a technician working under an ongoing employment arrangement.

The fact that someone works in the film industry does not automatically determine their employment status. Nor does every termination dispute involving a technician necessarily fall under the same statutory regime.

Where employment status is disputed, the agreement should be considered alongside the actual working arrangement and the applicable law.

10. Oral Agreements, WhatsApp Messages and Electronic Evidence

Film projects sometimes begin with informal discussions. The parties may agree on a fee over the phone, confirm shooting dates through WhatsApp and settle the remaining terms by email.

The absence of a lengthy signed contract does not automatically mean that no agreement exists. Depending on the circumstances, the parties’ communications and conduct may help establish what was agreed.

The Difficulty of Proving the Precise Terms

The difficulty is proving the precise terms.

A producer may say that an actor promised to remain exclusively available during a particular period. The actor may respond that the dates were provisional or that an earlier commitment had already been disclosed.

Messages and emails can help resolve such disagreements, but they must be read in context.

Electronic Evidence Under the Bharatiya Sakshya Adhiniyam, 2023

The Bharatiya Sakshya Adhiniyam, 2023, contains provisions dealing with electronic and digital records. The applicable evidentiary requirements should be assessed in relation to the proceedings, including any relevant transitional provisions.

Anyone anticipating a dispute should preserve the original messages and email threads, the contract and its amendments, invoices, bank records, shooting schedules and delivery confirmations.

Where possible, retain complete communications rather than relying only on cropped screenshots. If litigation appears likely, obtain advice about preserving and producing the electronic evidence properly.

A short written agreement setting out the essential terms is generally far better than leaving the parties to reconstruct their understanding after the relationship has broken down.

11. What Should a Producer Do When Someone Leaves Midway?

When a key person withdraws from a production, the producer may feel under pressure to act immediately. But the best first step is to assess the legal position carefully.

Review the contract. Identify the relevant obligations, termination provisions, exclusivity clauses and notice requirements.

Preserve the evidence. Keep the agreement, emails, messages, shooting schedules, payment records and documents showing what the parties agreed.

Calculate the loss realistically. Separate costs directly connected with the alleged breach from general production expenses. What Should an Actor, Director or Technician Do After Termination?

The affected professional should begin by obtaining and reviewing the agreement, including any amendments or written communications that changed the original terms.

The next step is to identify the work completed, the payments that have become due and the obligations that may continue after termination.

Preserve evidence of attendance, deliveries, approvals, invoices, expenses and communications concerning the termination.

If a payment that has already become due is being withheld, a written demand should identify the contractual basis of the claim and the amount outstanding.

The professional should also review any clauses dealing with confidentiality, intellectual property, screen credit, exclusivity and the return of production materials.

Termination does not necessarily extinguish every contractual obligation. Some obligations may continue, depending on the agreement and the law. Equally, the producer cannot necessarily withhold all outstanding remuneration simply because the engagement has ended.

Where the parties disagree, the sensible course is to assess the agreement and available remedies rather than rely on threats or assumptions.

14. How Can Film Contracts Prevent These Disputes?

Many disputes can be avoided—or at least made easier to resolve—if the parties address difficult questions before the project begins.

A well-drafted film agreement should consider the following matters.

Scope of work: Clearly describe the role, services, deliverables and period of engagement.

Shooting schedule: Specify the agreed dates, availability requirements and process for rescheduling.

Remuneration: Set out the fee, payment milestones, invoice requirements and reimbursement arrangements.

Termination: Explain when either party may terminate the agreement, what notice is required and whether an opportunity to remedy a breach must be provided.

Consequences of breach: Define the contractual consequences carefully and consistently with applicable law. Do not assume that a large fixed penalty will automatically be recoverable.

Exclusivity: Identify the duration and scope of the restriction, and clarify how it operates if the contract is terminated.

Copyright and performers’ rights: Specify relevant assignments, licences, permitted uses and any applicable rights that require separate consideration.

Screen credit: Record the agreed credit and the circumstances in which changes may be made.

Confidentiality: Identify the information to be protected and the obligations that apply during and after the engagement.

Dispute resolution: Set out the agreed procedure, including any arbitration clause and relevant governing-law or jurisdiction provisions.

Electronic communications: Where appropriate, establish how notices, schedule changes and approvals may be communicated and recorded.

A contract cannot eliminate every disagreement. But clear drafting can reduce misunderstandings and make the parties’ rights and obligations easier to establish when a problem arises.

Conclusion

When an actor, director or technician is terminated midway through a film project—or leaves before completing an engagement—the consequences can be serious for everyone involved.

The producer may face delays, additional expenses and uncertainty about the film’s future. The professional may face unpaid remuneration, lost opportunities and disputes over contractual obligations, copyright or screen credit.

Indian law provides remedies, but the right remedy depends on the facts. A party may be able to claim compensation for a breach without being entitled to force another person to continue performing personal services. A contractual penalty does not automatically guarantee recovery of the stated amount. Similarly, ownership of a film does not necessarily resolve every question about performers’ rights or agreed credits.

The Bombay High Court’s decision in Avanika Films LLP v. Abhay Verma is a useful reminder of these limits. The Court refused the interim injunction sought against the actor in the circumstances before it, but it did not finally decide the producer’s damages claim.

The decision should not be read as a blanket rule invalidating all exclusivity clauses. It demonstrates why courts must examine the agreement, the status of the contractual relationship, the effect of the proposed injunction and the remedy sought.

For anyone working in the film industry, the best protection begins before filming starts. Clear contracts, realistic schedules, precise payment terms, carefully drafted exclusivity provisions and well-defined intellectual-property arrangements can prevent many disputes from becoming costly legal battles.

When a dispute does arise, the parties should focus on what the contract actually requires, what the evidence establishes and what the law allows.

A good film contract is more than paperwork. It protects the production, the investment and the professional relationships that make filmmaking possible.

⚖️ Actor, Director or Technician Terminated Mid-Project? What are the legal remedies if an actor, director or technician is terminated from a film project midway?

If an actor, director or technician is terminated from a film project before completing the agreed work, the available legal remedies depend on the contract terms, the reason for termination and the losses suffered. Under the Indian Contract Act, 1872, particularly Sections 73 and 74, an aggrieved party may claim compensation for losses caused by a breach of contract, subject to applicable legal requirements. Depending on the circumstances, a professional may also pursue unpaid remuneration or other contractual dues. Specific performance of personal-service contracts is generally restricted under the Specific Relief Act, 1963.

2. Can a film producer sue an actor for breach of contract for leaving a movie before shooting is completed?

Yes. A film producer may bring a claim for breach of contract if an actor leaves a project in violation of a binding agreement. However, compensation is not automatic. The producer must establish the contractual breach and satisfy the applicable legal requirements for recovering damages. Under Section 73 of the Indian Contract Act, compensation generally relates to loss caused by the breach that naturally arose in the usual course of things or was within the parties’ contemplation when they entered into the contract. The court may also consider whether reasonable steps were taken to minimise the loss.

3. Can a court force an actor, director or technician to complete a film project under Indian law?

Generally, Indian courts do not specifically enforce contracts that depend on personal qualifications, skill or individual performance, or contracts that are determinable in nature. Sections 14 and 41(e) of the Specific Relief Act, 1963 are relevant to the limits on specific performance and injunctions involving contracts that cannot be specifically enforced. Although the precise outcome depends on the agreement and circumstances, a producer generally cannot assume that a court will compel an actor or other creative professional to continue working on a film. A claim for damages may remain available where legally justified.

4. Are exclusivity and non-compete clauses in film industry contracts enforceable in India?

The enforceability of exclusivity and non-compete clauses depends on their wording, duration, scope and the circumstances in which they operate. Section 27 of the Indian Contract Act, 1872 generally renders agreements restraining a person from exercising a lawful profession, trade or business void to that extent, subject to recognised exceptions. A restriction operating during the subsistence of a valid contract may be treated differently from a post-termination restraint. In Niranjan Shankar Golikari v. Century Spinning and Manufacturing Co. Ltd., AIR 1967 SC 1098, the Supreme Court considered negative covenants operating during the contractual term. In contrast, Percept D’Mark (India) Pvt. Ltd. v. Zaheer Khan, (2006) 4 SCC 227, addressed the limits of post-contractual restraints. Each film contract must therefore be examined on its own terms.

5. What should an actor, director or film technician do if a producer withholds payment or terminates the contract unfairly?

A professional facing non-payment or disputed termination should preserve the signed agreement, amendments, payment records, invoices, emails, WhatsApp messages, call sheets and other evidence of the parties’ commitments. A written notice setting out the contractual obligations and outstanding dues may be appropriate, depending on the circumstances. The professional may consider seeking recovery of unpaid remuneration, contractual damages or other remedies available under Indian law. Electronic records may be relevant evidence, subject to the requirements of the Bharatiya Sakshya Adhiniyam, 2023. Before initiating proceedings, it is advisable to review the contract, limitation periods, dispute-resolution clause and available evidence with a qualified lawyer.

Key Takeaways: Actor, Director or Technician Terminated Mid-Project Under Indian Law

Termination of a film contract does not automatically establish liability: Whether an actor, director or technician has breached a contract depends on the agreement’s terms, the reason for termination and the facts of the dispute.

Compensation may be available for breach of contract: Sections 73 and 74 of the Indian Contract Act, 1872, govern important aspects of compensation for contractual breaches and stipulated sums, subject to the applicable legal requirements.

Courts generally do not compel creative professionals to perform personal-service contracts: The Specific Relief Act, 1963, restricts specific enforcement of certain contracts involving personal skill, qualifications or determinable obligations.
