You must be able to discuss your case openly, understand the legal advice you receive, and have confidence that your interests are being represented properly. If that confidence is lost, you can consider appointing another advocate.

However, changing your lawyer involves more than simply telling them that their services are no longer required. Depending on the court and the nature of the proceedings, certain formalities may need to be completed.

An important question also arises: what happens if your advocate refuses to return your case papers or demands payment of outstanding fees before allowing you to appoint someone else?

The Supreme Court of India has addressed this issue directly. Its decision in R.D. Saxena v. Balram Prasad Sharma (2000) 7 SCC 264 remains a leading authority on an advocate’s inability to retain a client’s litigation papers as security for unpaid fees.

This article explains your rights, the relevant legal principles, the procedure for changing an advocate, and the steps you can take if your existing lawyer refuses to cooperate.

Can I Fire My Advocate If I Am Not Happy With Their Work?

Yes. A client is not ordinarily required to continue with an advocate in whom they have lost confidence.

You may consider changing your advocate if, for example:

Your lawyer repeatedly fails to communicate important developments in your case.

You are not receiving clear explanations about your legal position or available options.

Your advocate does not appear in court without a satisfactory explanation.

You believe important instructions have been ignored.

You disagree with the manner in which your case is being conducted.

You have lost confidence in your advocate’s professional judgement.

You believe your advocate has acted contrary to your interests or without your authority.

You do not necessarily have to establish professional misconduct before deciding to change lawyers. The decision to continue a professional engagement and the question of whether the advocate has committed misconduct are separate matters.

At the same time, an adverse court order, an unsuccessful argument, or a difference of opinion does not automatically establish negligence or misconduct. Legal strategy sometimes involves difficult choices, and a lawyer cannot guarantee a particular result.

The important point is that you should not feel compelled to continue a professional relationship that you no longer consider appropriate for your case.

The procedure for formally replacing your advocate, however, must be followed.

What Does the Supreme Court Say About Changing Your Advocate?

The leading decision is R.D. Saxena v. Balram Prasad Sharma (2000) 7 SCC 264, decided by the Supreme Court on 22 August 2000.

The judgement addressed a problem that can place a litigant in a particularly difficult position: what happens when an advocate refuses to return the client’s case files because professional fees remain unpaid?

R.D. Balram Prasad Sharma: The Facts

The dispute arose after the Madhya Pradesh State Co-operative Bank Ltd. terminated its legal engagement with an advocate and requested the return of its case files.

The advocate claimed that professional fees remained outstanding and refused to hand over the files, asserting a right to retain them until payment was made.

The matter ultimately reached the Supreme Court following disciplinary proceedings before the Bar Council of India.

The central question was whether an advocate could exercise a lien over a client’s litigation papers to secure payment of unpaid professional fees.

What Did the Supreme Court Decide?

The Supreme Court rejected the argument that an advocate could retain a client’s litigation papers as security for unpaid fees.

The judgement established several important principles.

1. An advocate cannot claim a lien over a client’s case files for unpaid fees.

The Court held that an advocate does not have a legal right to withhold litigation papers merely because a fee dispute exists.

2. A client’s case papers are not ordinary commercial goods.

The Court rejected the attempt to treat litigation files as goods over which a retaining lien could be exercised under Section 171 of the Indian Contract Act, 1872.

3. Withholding the case file may amount to professional misconduct.

Refusing to return a client’s litigation papers after the engagement has ended can attract disciplinary action under Section 35 of the Advocates Act, 1961.

4. A client must be able to change advocates.

The right to change legal representation would be seriously undermined if an advocate could prevent a client from moving to another lawyer by withholding essential case papers.

5. A fee dispute must be dealt with separately.

An advocate who believes professional fees remain unpaid may pursue an appropriate legal remedy. Retaining the client’s litigation papers is not a permissible substitute for that remedy.

The Supreme Court reduced the disciplinary punishment imposed in that case to a reprimand. It also made clear that the reduced punishment should not be treated as a precedent for determining punishment in other cases.

Why Is This Judgement Important for Clients?

The decision protects a client’s ability to move forward with their case even when a professional fee dispute has arisen.

Imagine that you have lost confidence in your advocate and want another lawyer to handle your matter. Your new advocate needs access to the pleadings, evidence, correspondence, orders, and other relevant documents.

If your former advocate refuses to return those papers until every disputed fee has been paid, your case could be placed at risk.

The principle in R.D. Saxena prevents an advocate from using the client’s litigation papers as leverage in a fee dispute.

It does not, however, mean that all professional fees automatically become payable or that a client is free from legitimate contractual obligations. The entitlement to fees must be considered separately from the right to recover the case papers.

Can My Advocate Refuse to Give Me My Case File Until I Pay the Fees?

This is one of the most important questions clients ask when they want to change lawyers.

The principle laid down in R.D. Saxena is that an advocate cannot retain a client’s litigation papers as security for unpaid professional fees.

If your advocate demands payment before returning your case file, you should distinguish between two issues:

Whether any professional fees remain lawfully payable.

Whether the advocate is entitled to withhold your case papers because of that dispute.

These are not the same question.

An advocate may have a legitimate claim for fees relating to work already performed. However, that claim does not create a right to retain the client’s litigation papers as security.

If your former advocate refuses to return the file, consider making a written request identifying the documents required and asking for their prompt return. Preserve copies of your correspondence.

If the refusal continues, you may consider seeking appropriate legal remedies, including approaching the relevant State Bar Council where the circumstances justify a professional misconduct complaint.

The appropriate course of action will depend on the documents involved, the stage of the proceedings, and the applicable professional and procedural rules.

Do I Need a No Objection Certificate (NOC) to Change My Advocate?

The requirement for a No Objection Certificate, commonly called an NOC, is an important practical issue.

Clients often assume that their existing advocate can prevent them from appointing another lawyer simply by refusing to issue an NOC. That assumption is not universally correct.

The legal position requires a distinction between your right to end the professional relationship and the procedure for formally changing the advocate on the court record.

What Is an NOC?

An NOC is a document indicating that the existing advocate does not object to the appointment of another advocate.

In practice, it can help make the transition smoother. It may also help avoid disputes over the change of representation.

However, an NOC should not automatically be treated as an unrestricted veto over your choice of lawyer.

What Does Order III Rule 4 of the CPC Say?

Order III Rule 4 of the Code of Civil Procedure, 1908, governs the appointment of pleaders in civil proceedings.

Under Rule 4(2), an appointment filed in court is generally treated as continuing until it is determined in the manner prescribed by the rule, including determination with the leave of the court through the appropriate written procedure.

Rule 4(3) clarifies that this procedural provision does not extend the duration of the engagement between the advocate and the client.

This distinction matters.

You may decide that you no longer wish to retain your advocate. Nevertheless, the change may still need to be formally recorded before the court.

The official text of the Code of Civil Procedure is available through the Government of India’s legislative repository.

What Have the High Courts Said About NOCs?

The supplied authorities identify decisions of the Karnataka and Gujarat High Courts that support the principle that a client’s right to change advocates should not be defeated merely because the former advocate refuses to issue an NOC.

These include:

C.V. Sudhindra v. Divine Light School for Blind, AIR 2009 Kar 5.

Karnataka Power Transmission Corporation Ltd. v. M. Rajashekar, 2017 ILR Kar 59.

Jitubhai Rupabhai Raval v. Baria Kanabhai Vaghabhai, Special Civil Application No. 9062 of 2021, decided on 4 September 2023.

The supplied research also identifies Oriental Insurance Co. v. Sheela Devi, a Himachal Pradesh High Court decision, as reflecting a more procedural approach under which consent or permission from the court may be required when an earlier vakalatnama remains on record.

These authorities should be checked against the applicable court rules and original judgments before being relied upon in a particular proceeding.

What Should You Do If Your Advocate Refuses to Issue an NOC?

A practical approach is to proceed methodically.

Inform your existing advocate in writing that you wish to end the engagement.

Request the return of your case papers and an NOC.

Keep a record of the communication and any response.

Consult your proposed new advocate about the applicable court procedure.

If consent is refused, consider applying to the court for leave to substitute your advocate, where required.

Ensure that the change is properly recorded and that all upcoming hearings and deadlines are addressed.

The key point is that an NOC dispute should not be allowed to place your case at unnecessary risk. The appropriate procedural solution depends on the court and the applicable rules.

Can My Advocate Force Me to Pay Fees Before I Change Lawyers?

Not every disagreement about fees is the same.

An advocate may be entitled to payment for professional work already performed, depending on the engagement, applicable rules, and the circumstances of the case.

However, the right to claim fees must be distinguished from the client’s right to change legal representation.

In C.S. Venkatasubramanian v. State Bank of India, [1996] Supp. 9 SCR 67, the Supreme Court addressed the issue of changing counsel and directed the advocate concerned to provide unconditional consent, while also dealing with payment for work already performed under the applicable rules.

The decision illustrates an important principle: the process of changing counsel and the question of professional remuneration need not be treated as the same dispute.

If your advocate claims unpaid fees, ask for a clear statement showing the work performed, the amount charged, payments already made, and the outstanding balance.

If you dispute the amount, explain your position in writing and obtain independent legal advice where necessary.

You should not assume that changing lawyers automatically extinguishes a legitimate fee claim. Equally, you should not assume that an advocate can retain your case papers simply because the fees are disputed.

Can My Advocate Make Decisions in My Case Without My Permission?

Appointing an advocate does not mean surrendering control over every important decision affecting your legal rights.

A lawyer is expected to act within the authority given by the client and in accordance with professional obligations.

The Supreme Court considered the limits of an advocate’s authority in Himalayan Cooperative Group Housing Society v. Balwan Singh, (2015) 7 SCC 373.

The Court emphasised the importance of express authority where a proposed concession or settlement would affect the client’s substantive rights.

The distinction is significant because ordinary procedural decisions and decisions that substantially affect a client’s rights are not necessarily treated alike.

For example, a client may have serious grounds for concern if an advocate purports to surrender an important claim, make a substantial concession, or agree to a settlement without the necessary authority.

A related issue arises under Order XXIII Rule 3 of the Code of Civil Procedure, which governs compromises in civil suits.

The Supreme Court’s decision in Krishna Kumar Ojha v. Jitendra Chaudhary, identified in the supplied research as 2026 INSC 662, addresses the need for compliance with the requirements governing compromise decrees and the authority to compromise.

Before relying on that recent decision, its official judgment and exact citation should be checked.

If you believe your advocate has acted without your authority, obtain the relevant pleadings, orders, correspondence, and settlement documents. Have another lawyer assess whether the action was authorised and whether any corrective legal step is available.

Changing advocates may be appropriate, but whether the earlier action can be challenged is a separate legal question.

What If My Advocate Is Negligent or Has Committed Professional Misconduct?

Being unhappy with an advocate’s work does not automatically establish professional misconduct.

It is important to identify what actually happened.

A difference of opinion about legal strategy may be very different from repeatedly ignoring instructions, misusing client funds, withholding documents, or disclosing confidential information.

If you believe your advocate has committed professional misconduct, Section 35 of the Advocates Act, 1961, provides a disciplinary mechanism through the relevant State Bar Council.

Depending on the case and the applicable law, further proceedings may be available through the statutory appellate structure.

Sections 36B, 37 and 38 of the Advocates Act deal with the transfer of certain disciplinary proceedings and appeals involving the Bar Council of India and the Supreme Court.

Can I File a Consumer Complaint Against My Advocate?

The Supreme Court addressed this question in Bar of Indian Lawyers v. D.K. Gandhi, (2024) 8 SCC 430.

The Court held that complaints against advocates for alleged deficiency in service are not maintainable under the consumer protection framework considered in that case.

Accordingly, a client should not assume that a consumer complaint is the appropriate remedy for every grievance against an advocate.

Depending on the circumstances, the appropriate course may involve a complaint to the Bar Council, another legally available proceeding, or a separate claim concerning a distinct legal entitlement.

The correct remedy depends on the nature of the grievance. Obtain legal advice before choosing a forum.

What Happens to Confidential Information After I Fire My Advocate?

Ending the professional relationship does not mean that your former advocate becomes free to disclose confidential information about your case.

Professional confidentiality is an important part of the lawyer-client relationship. It is not simply a courtesy that ends when the engagement ends.

Section 132 of the Bharatiya Sakshya Adhiniyam, 2023, addresses professional communications and related protections.

The supplied research also identifies Rehana Khan v. Rizwan Siddiquee, 2026 INSC 907, decided on 21 August 2026, as addressing the continuation of confidentiality obligations after the professional engagement has ended.

The precise application of privilege and confidentiality depends on the applicable law and the circumstances. Nevertheless, changing advocates does not, by itself, authorise the former advocate to disclose protected communications.

If you believe confidential information has been improperly disclosed, preserve the available evidence and seek advice about the appropriate legal or professional remedy.

How to Change Your Advocate: A Step-by-Step Guide

If you have decided to appoint another lawyer, a planned transition is usually safer than an abrupt departure without arrangements for the pending case.

Step 1: Review the Position of Your Case

Before taking action, establish where your case stands.

Check the next hearing date, the latest court order, pending applications, filing deadlines, and any immediate obligations.

If a hearing is approaching, prioritise continuity of representation.

Step 2: Communicate Your Decision in Writing

Write to your existing advocate stating that you wish to terminate the engagement.

You do not need to turn the communication into a personal dispute. Changing Your Advocate in a Criminal Case

The right to legal representation is especially important in criminal proceedings.

Article 22(1) of the Constitution of India protects the right of an arrested person to consult and be defended by a legal practitioner of their choice.

The Supreme Court referred to this constitutional protection in R.D. Saxena while discussing the importance of a litigant’s freedom to change counsel.

However, the practical consequences of changing an advocate during a criminal proceeding depend on the stage of the case, the court’s requirements, and the need to ensure that proceedings continue properly.

If you are facing trial, have been arrested, or are dealing with an urgent criminal application, arrange replacement representation promptly.

2. Changing Your Advocate in the Supreme Court

Proceedings before the Supreme Court involve specific requirements for Advocates-on-Record.

Under the Supreme Court Rules, 2013, the procedure for changing an Advocate-on-Record must be followed, including the applicable requirements concerning consent or leave of the court.

A client should therefore not assume that the procedure applicable in an ordinary civil court can be followed without modification.

If your matter is pending before the Supreme Court, consult an appropriately qualified Advocate-on-Record about the steps necessary to complete the change.

3. What If My Advocate Withdraws From the Case?

The position is different when the advocate wishes to withdraw rather than the client wishing to change lawyers.

The Bar Council of India Rules impose professional obligations on advocates who withdraw from an engagement. These include requirements concerning sufficient cause, reasonable and sufficient notice, and the return of the unearned portion of the fee, as applicable.

An advocate’s withdrawal does not eliminate the client’s responsibility to monitor the case.

In Shri Digant v. M/s P.D.T. Trading Co., identified in the supplied research as 2025 INSC 1352, the Supreme Court considered the consequences of a litigant failing to remain engaged with proceedings after the advocate reported that they had no instructions.

The practical lesson is straightforward: remain in contact with the court process, check hearing dates, and make timely arrangements for replacement representation.

4. What If My Advocate Has Already Entered Into a Settlement?

If you believe your advocate agreed to a settlement without proper authority, changing the advocate may be only the first step.

You should obtain the relevant court order, compromise petition, written communications, and other documents.

The available remedy will depend on the applicable procedural requirements, the terms of the settlement, the authority given to the advocate, and the stage at which the dispute arises.

Do not assume that every settlement can automatically be cancelled merely because you disagree with it later. Can I Fire My Advocate Without Giving a Reason?

Generally, yes. You may decide to change your advocate because you have lost confidence, disagree with the way the case is being handled, or simply wish to appoint someone else. You should nevertheless complete the applicable formalities for changing representation on the court record.

2. Can My Advocate Refuse to Return My Case File Because I Have Not Paid the Fees?

The Supreme Court’s decision in R.D. You should arrange for replacement representation, complete the necessary documentation, and ensure that the change does not cause you to miss a hearing or filing deadline.

4. What Can I Do If My Advocate Refuses to Give Me an NOC?

Make a written request and retain a record of the response. Consult your proposed new advocate about the applicable court rules and whether an application for leave to substitute counsel should be filed. The former advocate’s refusal does not automatically mean that you must continue the relationship.

5. Can I Complain to the Bar Council Against My Advocate?

If you believe your advocate has committed professional misconduct, you may consider filing a complaint before the appropriate State Bar Council under Section 35 of the Advocates Act, 1961. Whether the conduct amounts to misconduct will depend on the facts and applicable professional rules.

6. Can I Change My Advocate Even If the Case Is at an Advanced Stage?

The fact that a case is at an advanced stage does not automatically remove your ability to change counsel. If you have lost confidence in your lawyer, you are not ordinarily required to continue the relationship simply because your case is already before a court.

The Supreme Court’s decision in R.D. Saxena v. Balram Prasad Sharma provides an important safeguard: an advocate cannot hold a client’s litigation papers hostage to a dispute over professional fees.

At the same time, changing your advocate should be handled carefully. You need to protect your case, obtain the relevant documents, understand any outstanding fee dispute, and comply with the procedure applicable to your court.

If you are considering changing your advocate, focus on three things: protect your legal rights, preserve the continuity of your case, and complete the necessary formalities without delay.

Action Checklist: What to Do Before Changing Your Advocate

If you are planning to change your advocate, use this short checklist to organise your next steps.

Review your case status: Identify upcoming hearings, deadlines, and pending applications.

Request your case papers: Make a written request for your litigation documents and retain a copy.

Review outstanding fees: Ask for an itemised account and keep the fee dispute separate from the request for your papers.

Consult your new advocate: Confirm the procedure for changing representation in the relevant court.

Check NOC requirements: Determine whether an NOC, leave of the court, or other procedural documentation is required.

Protect upcoming deadlines: Ensure the transition does not disrupt your case or cause you to miss a hearing.

Preserve written records: Keep copies of correspondence, payment records, court orders, and documents relating to the transition.

Need Legal Advice on Changing Your Advocate?
