The position becomes less straightforward when the shares are caught by a regulatory freeze during a buy-back.

The Securities and Exchange Board of India (Buy-Back of Securities) (Amendment) Regulations, 2026, introduced an ISIN-level freeze on specified holdings of promoters, promoter groups and their associates in the context of a buy-back. The amendment was notified on 1 July 2026 and came into force on 1 August 2026.

SEBI subsequently issued a circular dated 21 July 2026 setting out the mechanism for implementing the freeze through the depository system.

The concern is particularly significant where the frozen shares were pledged before the buy-back began. If the promoter defaults on the underlying loan, can the secured creditor still invoke and enforce the pledge?

More importantly, if invocation is permitted, can the creditor actually sell the shares and realise the security while the freeze remains in place?

The 2026 amendment does not provide an easy “yes” or “no”. It expressly recognises pre-existing encumbrances. The more difficult issue is therefore the extent of the protection given to them and whether the regulatory mechanism is sufficient to translate the creditor’s existing legal right into actual enforcement.

II. The 2026 Buy-Back Framework

The ISIN-level freeze represents a significant change in the mechanics of buy-backs. Rather than leaving compliance entirely to the promoter or the company, the restriction is implemented through the securities infrastructure.

Regulation 24(i)(ea) and the ISIN-Level Freeze

Regulation 24(i)(ea) of the amended Buy-Back Regulations provides for freezing the holdings of promoters, promoter groups and their associates at the ISIN level during the relevant period. The freeze operates from the specified stage of the buy-back process until its closure.

SEBI’s July 2026 circular gives effect to this requirement by laying down the operational procedure for depositories.

The Impact of Depository-Level Restrictions

An ISIN-level restriction matters because the securities are dematerialised. A restriction implemented at the depository level can affect the ability to process transactions involving those securities even where the underlying dispute concerns rights created under a separate contractual or statutory arrangement.

The amendment, however, does not treat every encumbrance as if it were a fresh transaction by the promoter. It contains an exception for invocation of pre-existing encumbrances, subject to conditions prescribed by SEBI.

This is an important qualification. A pledge created before the buy-back is legally different from an encumbrance created after the freeze in an attempt to circumvent the restrictions.

Invocation Versus Enforcement of a Pledge

The difficulty begins with what happens after invocation. A creditor may be able to invoke an existing pledge, but enforcement of a pledge generally involves more than invocation.

Ultimately, the creditor needs to realise the asset. Where the asset consists of listed shares, this may require a transfer or sale through the securities and depository system.

The regulations therefore leave an important practical question: “Does the exception preserve the entire enforcement process, or does it only permit the initial invocation of the encumbrance?”

Protection for Secured Creditors

That distinction could determine whether the exception provides meaningful protection to secured creditors.

III. Pledged Shares and SARFAESI

The position becomes more complex where the creditor relies upon the Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest Act, 2002.

Section 13 of SARFAESI provides the principal statutory framework for enforcement of security interests by secured creditors. Once the statutory requirements have been satisfied, Section 13(4) permits specified enforcement measures to be taken by the secured creditor.

Dematerialised securities also have a statutory framework governing pledges. Section 12 of the Depositories Act, 1996 recognises the creation of a pledge or hypothecation over securities held with a depository. The pledge is intimated to the depository and recorded in its books.

The creditor’s rights therefore do not arise from the buy-back regulations. They arise from the financing transaction, the pledge documentation and the statutory framework governing enforcement.

Example: A Pre-Existing Pledge During a Buy-Back

Suppose, for instance, that a promoter pledges shares in January. The company announces a buy-back in August, and the promoter defaults on the loan in September. The shares are then frozen at the ISIN level. The pledge predates the buy-back and is therefore a pre-existing encumbrance.

The lender’s problem is not necessarily whether the pledge exists. It is whether the lender can move from an existing security interest to actual recovery of the secured debt while the shares are frozen.

That is where the interaction between SARFAESI and the SEBI framework becomes difficult.

IV. Is There a Statutory Conflict?

It would be tempting to describe the situation simply as a conflict between SARFAESI and SEBI regulations. That conclusion, however, would overlook the express treatment of pre-existing encumbrances under the 2026 amendment.

A delegated regulation cannot ordinarily be interpreted as silently destroying a right created under a parliamentary statute unless the language and statutory scheme clearly require such a result. At the same time, SARFAESI does not operate in isolation from the regulatory framework governing securities and depositories.

The better approach is therefore to examine whether both regimes can operate together.

The purpose of the buy-back freeze is relatively clear. It is intended to prevent promoters from dealing freely with their holdings during the buy-back process and thereby protect the integrity of the transaction. A pre-existing pledge presents a different situation. The security was created before the regulatory restriction arose, and enforcement is triggered by a subsequent default.

This distinction explains why the 2026 amendment appears to preserve invocation of pre-existing encumbrances.

Invocation Versus Complete Enforcement

But preservation of invocation may not necessarily amount to preservation of complete enforcement. If a creditor invokes the pledge and then finds that the shares cannot be transferred or sold because the ISIN remains frozen, the creditor has a right that exists in law but may be difficult to realise in practice.

Whether that amounts to an actual conflict will depend upon the precise scope of the SEBI exception and the operational instructions issued to the depositories.

V. The Depository Problem

The depository is where the legal question becomes a practical one.

The Depositories Act establishes the statutory structure through which dematerialised securities are held and transferred. SEBI’s July 2026 circular then provides the operational mechanism for implementing the buy-back freeze. The distinction between a legal restriction and an operational restriction is consequently important.

Legal Restriction Versus Operational Restriction

A freeze may prevent the processing of a particular transaction without necessarily invalidating the underlying pledge. If the creditor’s security interest survives but the sale is postponed until the freeze is lifted, the lender may have suffered a delay rather than a loss of the security itself.

The position would be different if the regulatory mechanism made enforcement impossible even after the creditor had complied with all applicable conditions for invocation.

Different Stages of Pledge Enforcement

The answer may also depend on how the depository treats the different stages of enforcement. Invocation, possession or control of the pledged securities, and eventual sale are not necessarily the same legal act.

A regulatory provision permitting one stage should not automatically be assumed to permit all three. This is the area where clearer operational guidance would be valuable.

VI. Interaction with the Takeover Regulations

The consequences of the freeze may also extend into the takeover regime. Regulation 3(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 governs creeping acquisitions by persons holding the prescribed level of voting rights.

SEBI’s FAQ on the takeover regulations explains the manner in which acquisitions are considered for the purpose of the applicable limit. A change in the status of promoter-held securities may therefore have consequences beyond the immediate buy-back.

Enforcement and Creeping Acquisition Limits

The difficulty, however, should not be overstated. The rules governing acquisition thresholds do not themselves determine whether a pre-existing pledge can be enforced.

If a creditor acquires or transfers shares pursuant to enforcement, the resulting transaction would have to be examined separately under the applicable takeover requirements.

The important point is that a creditor enforcing a pre-existing security interest should not automatically be treated in the same manner as a promoter voluntarily acquiring additional shares. The legal character and purpose of the transaction are different, even though both may affect the promoter’s shareholding.

VII. Who Bears the Loss If Enforcement Is Delayed?

A more difficult issue arises where the lender suffers a financial loss because enforcement is delayed. Consider a lender that invokes a pledge during the buy-back freeze. The invocation is permitted, but the lender cannot sell the shares until the freeze is lifted. During this period, the market price falls considerably.

Who Bears the Financial Loss?

Who bears that loss? The answer cannot be determined simply by pointing to the existence of the freeze. A claim against the borrower would primarily depend upon the loan and security documents and the borrower’s contractual obligations. A claim against the company, depository or regulator would require a separate legal basis.

Questions of causation and remoteness would also arise. The lender would have to establish that the relevant regulatory restriction caused the loss and that the loss was legally recoverable from the particular defendant.

Temporary Delay Versus Permanent Impairment

There is also an important difference between a temporary delay and permanent impairment. If the lender retains the right to sell the shares once the freeze ends, it may be difficult to argue that the security itself has been destroyed.

The lender’s claim may instead concern the consequences of delayed realisation. This makes the design of the enforcement mechanism particularly important.

VIII. A Case for a Clear Enforcement Protocol

Recognising Pre-Existing Encumbrances

The 2026 amendment has already taken the first step by recognising pre-existing encumbrances. What remains is greater clarity on how those encumbrances are to be enforced once the freeze has been imposed.

A workable mechanism could require a secured creditor to demonstrate that the pledge existed before the buy-back period began. The creditor could provide the relevant pledge records and financing documents to the depository or another designated intermediary.

Subject to verification, the transaction could then proceed under a standard protocol specifically designed for pre-existing security interests. Such a mechanism would protect the buy-back without giving the freeze an unintended effect on secured lending.

Reducing Uncertainty for Companies and Depositories

It would also reduce uncertainty for companies and depositories. At present, where several regulatory regimes intersect, much depends on how the relevant intermediary interprets the operational requirements.

A standard process would make the treatment of pledged promoter shares more predictable. The same consideration applies to the compliance architecture introduced alongside the 2026 amendments.

Compliance Responsibilities and Third-Party Security

Where a merchant banker is not appointed, additional responsibilities fall upon the compliance officer and other corporate functionaries. The allocation of responsibility becomes particularly significant where an error in certification or processing affects a security interest belonging to a third party.

IX. Conclusion

The Intersection of Securities Regulation and Secured Lending

The 2026 ISIN-level freeze raises a question that extends beyond the mechanics of buy-backs. Promoter shares can simultaneously be subject to securities regulation and serve as collateral for a financing transaction. A regulatory restriction affecting the former cannot be analysed without considering its consequences for the latter.

The 2026 amendment appears to recognise this problem by preserving the possibility of invoking pre-existing encumbrances. The unresolved question is how far that protection extends.

Invocation and Realisation of Security Interests

For a secured creditor, invocation is only one part of enforcement. The real value of the security lies in the ability to realise it. If the creditor can invoke a pledge but cannot subsequently transfer or sell the shares, the regulatory exception may prove narrower than it initially appears.

The Need to Harmonise SEBI, SARFAESI and Depository Law

The issue therefore calls for a closer reading of Regulation 24(i)(ea), SEBI’s July 2026 circular, Section 13(4) of SARFAESI and Section 12 of the Depositories Act together.

The eventual solution need not place SEBI and SARFAESI in opposition. A more workable approach would preserve the buy-back freeze while creating a clearly defined route for enforcement of security interests that existed before the freeze.

For listed companies, lenders and depositories alike, that clarity would matter. The effectiveness of a security interest should not depend upon whether the borrower happens to default during the short regulatory window of a buy-back.

Residential Projects, Assured Returns, and Commercial Disputes

Financial Creditors and Operational Creditors under the Insolvency and Bankruptcy Code, 2016

New Criminal Laws and the “Justice Within 3 Years” Pledge

Regulating Online Share Trading and Investment Platforms in India: A SEBI-Led Framework

Analysing India’s 2026 Draft Foreign Investment Rules Overhaul

SEBI’s 2026 ISIN-Level Freeze: Can Lenders Enforce Pledged Shares Under SARFAESI?
