Title: Distribution Query to safeguard my interest

hi,

i need help in understanding one point:

"Responsibilities of THE DISTRIBUTOR

Purchase Pricing and Terms.

All PRODUCT sold by THE DISTRIBUTOR within the TERRITORY shall be purchased by THE CLIENT from THE MANUFACTURER and billed according to the terms and conditions of this Agreement and for the pricing set forth in the price list attached as Appendix B"
All i need to know that this means billing would be done between mfg and client .I in case of repeat orders party would contact directly  mfg which i cannot track due to volume clients.
So, am i right and how this should be framed to hide my client .

This clause is there in general, yes a repeat customer can directly purchase from manufacturer.

you ask the American company to add clause that all repeat purchaser has to approach via you, they should be fine with that.

Thanks Uma for your reply. But in volume clients i cannot keep check for repeat orders.How should i contain that and whether i bill client and they bill would be a nice option
